OWNERS’ SUPPLEMENTAL TERMS 

 

PLEASE READAND ACCEPTTHESE SUPPLEMENTAL TERMS OF SERVICE CAREFULLY PRIOR TOREGISTERING AS AN OWNERANDACCESSING OR USING THE APP OR WEBSITE AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. THESE SUPPLEMENTAL TERMS SHOULD BE READ AND ACCEPTED IN CONJUCTION WITH THE TERMS AND CONDITIONS AND TOGETHER CONSTITUTE A SINGLE SET OF TERMS AND CONDITIONS FOR THE USE OF THE DRYVE APP, PLATFORM, OR WEBSITE. 

 
NOTE ALL OBLIGATIONS CONCERNING THE CONDITION OF VEHICLES PRIOR, DURING, AND POST THE RENTAL PERIOD, INSURANCE LIABILITES, AND PENALTIES. 

 

  1. KEY TERMS AND DEFINITIONS 

 

  1. The definitions and rules of interpretation in this clause apply to all provisions of the Owners’ Supplemental Terms. All other terms are defined in the Terms and Conditions: 

 

  1. Administrative Fee” is a fee charged by Dryve to cover expenses incurred as a result of administering and processing Penalties, Dryver Disputes, and Claim Forms; 

 

  1. “Claim” refers to a formal request sent by Users and/or Dryve to the Insurer for the Insurance Coverage to take effect for compensation for any Covered loss or damage to a Vehicle; 

 

  1. “Covered Loss” means the amount covered by the Insurance Policy in the case of a successful Claim, less any Deductibles, and in the case of partial or total loss as determined by the provisions set in Clause C based on the accepted Sum Insured;  

 

  1. Daily Rate” refers to the daily rental price set by Owners, within a range set by Dryve, for their listed Cars prior to publishing and are a component of Rental Charges; 

 

  1. “Deductible” is the first loss payment and is the amount of money required by the Insurer to be paid by the Dryver in the event a Claim has been approved; 

 

  1. Drop-off Inspection Form” refers to the form with compulsory fields on the App required to be filled at Drop-off for the Rental Period to officially end. The Drop-off Inspection Form entails the recording of fuel and mileage levels, uploading clear pictures of the Vehicle, as well as pictures of any damages in the case of a Claim; 

 

  1. Dryver Dispute” refers to the disagreement submitted by the Dryver to any of the following information entered on the Drop-off Inspection Form: (i) fuel levels; (ii) excess mileage; and (iii) damage; 

 

  1. End Date” is the date mentioned in the Rental Agreement as the “End Date for the term of the Rental Agreement and is separate from the Drop-off date; 

 

  1. Maintenance Fee” means the daily sum paid, accounting for the Vehicle’s service and maintenance. Maintenance Fees are calculated by Dryve based on the Vehicle’s category and are a component of Rental Charges;   

 

  1. Nactia refers to Nactia Auto Care with the website: www.autocare.nacita.com. Nactia Inspections are highly recommended and may be obligatory for some Cars; 

 

  1. “Penalty” refers to any monetary fine that may be applied to a User for any violation committed during the Rental Period. Compensation and/or reimbursement shall be deducted by Dryve in favor of the advantaged User and/or Dryve, from the disadvantaged User. A complete list of what constitutes as a penalty can be found in Clause E; 

 

  1. “Pick-up Inspection Form” refers to the form with compulsory fields on the App required to be filled out at Pick-up for the Rental Period to officially begin. The Pick-up Inspection Form entails recording of fuel and mileage levels, uploading clear pictures of the Vehicle, and pictures of any pre-existing damages; 

 

  1. “Release Form” refers to the form which makes up part of the Rental Agreement required to be filled and signed by the Owner upon the receipt of his Vehicle, marking the termination of the Rental Agreement and the discharge of Dryver of his obligations under the Rental Agreement; 

 

  1. “Start Date” is the date mentioned in the Rental Agreement as the “Start Date” for the term of the Rental Agreement and is concomitant with the Pick-up date; 

 

  1. “Sum Insured” means the definition given in Clause C; 

 

  1. “Theft” refers only to theft by third parties and excludes breach of trust by Dryver and/or Owner; 

 

  1.  “Vehicle Conditions” means the definition given in Clause C.1; 

 

  1. “Vehicle Exclusions” means the definition given in Clause C.2; 

 

 

  1.  Where the expression “including” is used, this is to be constructed as being immediately  

followed by the expression “without limitation. 

 

  1. Definitions include the singular/plural term. 

 

 

  1. OWNER REGISTRATION PROCESS AND CAR VERIFICATION 

 

  1. Owner Registration and Vehicle Listing 

 

Registering as an Owner through the App requires that applicants have a Car, and functional and accessible Contact Information. Applicants should provide the following information and documents in order to successfully register as an Owner: 

 

  1. Valid national ID; 
  1. Valid Car license; 
  1. Details on the Car’s specifications, features and location; 
  1. Clear, genuine pictures of the Car; 
  1. Any other documents Dryve may require for activating and verifying an Owner account or the listing of a Car. 

 

The collection and use of such information is as provided in Dryve’s Privacy Policy. You hereby undertake to provide true, accurate, complete information and that you will be responsible for ensuring that the information and Contact Information is up-to-date at all times. 

 

Cars listed by Owners will need to go through Dryve’s verification process. Owners will be notified when their Cars have been verified or rejected. In the event that any information stated has been found to carry error, Dryve will notify the Owner and ask that they amend said information for their Car to be approved. If any information entered has been stated with malicious or fraudulent intent, Dryve reserves the right to delist the Car, and suspend and penalize the Owner. 

 

Certain Cars will be required to undertake Nacita inspections. Nacita inspections are highly recommended. Owners who inspect their Cars at Nacita increase the likelihood of it being Booked by Dryvers. Users undertake to upload the Car’s report results directly on the App, said Car’s profile will be immediately updated to reflect the Nacita inspection results. Other Vehicles may have the option of skipping Nacita inspections and having the Vehicle’s first Dryver carry out the inspection on their behalf. Inspection costs will be fully borne by the Owner and will be deducted from the Booking’s Rental Charges. Administrative Fees will apply if the Dryver carries out this step for you.  

 

You acknowledge responsibility for your account and any activities or transactions on your account. You agree to maintain the secrecy of your information on your account including your username and password for its access. 

 

You understand and acknowledge that you may not allow other individuals to use your credentials to list Cars on the App, accept Bookings or in any way deal with other Users on the App, and that you shall be held liable for any damages arising out of such use caused to Dryvers, Dryve or other affected parties without prejudice to their right to invoke legal action or proceedings against you to the full extent permissible under Egyptian law. 

 

  1. INSURANCE  

 

The Insurance Policy, provided by AXA and arranged through Dryve, covers total loss, partial loss and/or damage to the Vehicle during the Rental Period as per the Policy terms. Insurance Coverage will initiate at Pick-up and cease at Drop-off. Only Booked Vehicles will receive Insurance Coverage. Insurance covers Vehicles with manufacturing dates that do not exceed 18 years. In case of a successful Claim, Vehicles are required to be repaired at an Approved Repair Center. The Insurer shall cover certain risks as summarized below and detailed in the Insurance Policy Terms. 

 

Vehicles are subject to a maximum Coverage amount of either EGP 350,000 or EGP 750,000 depending on their Market Value at the time of publishing. Vehicles with a Market Value less than or equal to EGP 350,000 at the time of publishing will be insured up to EGP 350,000, while Vehicles with a Market Value above EGP 350,000 at the time of publishing will be insured up to EGP 750,000 ("Sum Insured"). 

 

The Sum Insured will be displayed during the publishing process on the App and by successfully publishing their Vehicle, the Owner is deemed to have accepted his Vehicle’s Sum Insured. Owners hereby acknowledge that they understand and agree that the accepted Sum Insured shall be the basis for the calculation of the Coverage amount under the Insurance Policy. 

In the case of a total or partial loss Claim, independent loss adjusters sent by AXA, will determine the value of the Vehicle and reserve the right to determine whether a Vehicle is in a state of total or partial loss at their sole discretion.  

In the case of partial loss, if the value of the insured Vehicle, as determined by the independent loss adjuster, exceeds the Sum Insured at the time of the accident, the Covered Loss will be equal to the Claim amount multiplied by the ratio of the Sum Insured to the determined value of the Vehicle.  

 

In the case of a total loss, the Covered Loss will be determined by the lower of the Vehicle’s value at the time of the accident, as determined by the independent loss adjuster, or the Sum Insured. 

 

During listing, Owners will be required to choose a minimum of three different Approved Repair Centers that cater to their Vehicle’s manufacture year and make: 

  1. Vehicles aged 5 years or less from the time of their listing can be repaired at “dealers”, “sub dealers”, and/or “workshops”.  
  1. Vehicles aged more than 5 years from their listing date and up to 18 years can only be repaired at “workshops”.  

You will be notified when your Vehicle shifts from i. to ii. and you may be required to update your chosen Approved Repair Centers. 

If a Vehicle is repaired at an Approved Repair Center that is within the AXA network (labelled as "Direct Billing" centers on the App), Owners will only be required to pay the Deductible when collecting their Vehicle from the Repair Center. Owners will receive reimbursement for the Deductible which is payable by theDryver through Dryve.  

If a Vehicle is repaired at an Approved Repair Center that is not within the AXA network (labelled as "Pay and Reimburse" centers on the App), Owners will be required to pay the total repair cost, which includes the Deductible, when collecting their Vehicle from the Repair Center.  

Owners will receive reimbursement for the Deductible which is payable by theDryver through Dryve, and reimbursement for the remaining repair cost from AXA. Owners will be required to send the repair cost invoice when requesting for any reimbursement. 

The repair centers are clearly labelled as "Direct Billing" or "Pay & Reimburse" on the App. 

  • Vehicles aged more 10 years cannot be repaired at “dealers” and/or “sub-dealers”. 
  • Vehicles must be repaired at an Approved Repair Center. If the Vehicle is repaired at a repair center not on the list of Approved Repair Centers, it is considered outside of Coverage and AXA will no longer be held liable to provided Insurance Coverage. 
  • Vehicles aged more than 18 years are excluded from the policy. 

In the event that Owners of Vehicles aged 6-10 years from their listing date choose to have their Vehicle repaired at a dealer and/or sub-dealer, they will be charged 25% of the Claim amount. 

In the case that Vehicles meet the Vehicle Conditions and the damage or loss does not surround the Vehicle Exclusions, Dryvers will be deemed liable for any Deductibles that would be required in the event of a successful Claim due to damage or loss to the Vehicle during the Rental Period.  

Owners will be required to pay the Deductible when collecting their Vehicle from the Approved Repair Center and will receive reimbursement for it from the Dryver through Dryve.  

Deductibles currently start at EGP 3,000, in addition to all Special Terms, and are subject to changes from time to time at Dryve’s and AXA’s discretion. 

 

  1. Vehicle Conditions 

Owners’ Vehicles must adhere to certain requirements and conditions to make them eligible for Insurance Coverage. 

  1. All Vehicles must have a valid Egyptian car license in accordance with all traffic act and other laws and regulations. Car Licenses cannot expire during the Rental Period;  
  1. Owners must properly inspect and photograph the Vehicle clearly at Drop-Off indicating any apparent loss or damage that has occurred to their Vehicle during the Rental Period; 

 

  1. Vehicle Exclusions 

Booked Vehicles will not be covered by the Insurer, and the Owner will be fully liable in the event that the damage or loss occurred surrounds the below exclusions: 

 

  1. Any personal belongings that are in the Vehicle at the time of the accident; 
  1. Vehicle minor scratches and abrasions; 
  1. Any existing damages made to the Vehicle prior to Pick-up of said Vehicle; 
  1. Vehicles that have a manufacturing year less than 18 years old; 
  1. War, civil war, and warlike operations; 
  1. Terrorist attacks; 
  1. Revolutions, rebellions, and military coups. 

 

  1. Special Terms 
  1. Radios or other fixed media devices are limited to their total assessed value or 2% of the car’s value whichever is lower; 
  1. Dryvers bear 25% of the value airbags in the case of partial or total loss. 
  1. Dryvers bear 25% of the value of the sunroof/panorama glass and its components in case of partial loss during an accident; 
  1. A Vehicle is considered a total loss/ write-off if it costs more than 50% of its independently assessed market value to repair; 
  1. Vehicles where the manufacturer year exceeds 5 years from the listing date will be repaired at approved workshops and will not be repaired at “dealers” or “sub-dealers”; 

 

SHOULD VEHICLES NOT MEET THE ABOVE VEHICLE CONDITIONS; AND/OR THE DAMAGE/LOSS TO THE BOOKED VEHICLE HAS BEEN STATED IN THE VEHICLE EXCLUSIONS; AND/OR THE VEHICLE IS TRANSFERRED, BY THE OWNER, FOR REPAIR AT A SERVICE CENTER WHICH IS NOT AN APPROVED REPAIR CENTER, AXA IS NO LONGER LIABLE TO PROVIDE INSURANCE COVERAGE. OWNERS WILL BE CONSIDERED FULLY LIABLE FOR THE REPAIR OF A DAMAGED VEHICLE AND WILL ACCEPT ANY CHARGES AND/OR PENALTIES THAT ARISE. 

Dryvers and Owners must take and upload clear distinct and unobstructed pictures at Pick-Up and Drop-Off for the Insurance Coverage and any respective Claim to be deemed valid. 

To ensure their Vehicle’s Coverage, Owners are obliged to report any and all loss and/or damage made to their Vehicle during the Rental Period, at Drop-off by submitting a Claim through the App. Any Claim Forms submitted after Drop-off or that are incomplete shall be deemed void and rejected by AXA. Administrative Fees may apply to submitted Claim Forms.  

Owners must review and make sure that all inputted information is accurate prior to submitting their Claim Form. Said forms will be thoroughly examined. In the event that any information has been found to be stated with or without malicious and fraudulent intentions, the Claim will be deemed void and rejected. 

By accepting these Terms and Supplemental Terms you hereby consent to the forgoing; in the event an accident occurs to your Vehicle during the Rental Period and the Dryver submits a Claim, your Vehicle will be transferred directly to one of your chosen Approved Repair Centers for repair. 

In the case an accident was reported, the Insurance Claim is approved by AXA, and the Dryver has paid all relevant Deductibles, the Owner must return all legal documents signed by the Dryver at the time of Pick-up, except one copy of the Rental Agreement. Failure to comply by the Owner to this requirement will result in non-reimbursement and/or nonpayment of any Deductibles due by the Dryver. Release of any outstanding amounts will only occur upon confirmation by the Dryver of their receipt of the legal documents previously signed thereby during the Pick-up, including one copy of the Rental Agreement with the Release Form signed and completed.  

 

Further, failure to return the signed legal documents shall be deemed a breach of the Terms that shall incur a penalty of EGP EGP 50,000 (Fifty Thousand Egyptian Pounds) on the Owner and could also result in account suspension or de-registration.  

In the event that Claims are submitted by the Owner during Drop-Off, the Owner assumes responsibility in transferring the Vehicle to one of his chosen Approved Repair Centers. 

Independent loss adjusters, at their sole discretion, will determine whether a Vehicle is considered to be in a state of total loss. In the event of total loss or Theft, the Insurer will send out a total loss letter that will require the Owner’s signature. Owners will need to submit all required documents and in the event of a successful Claim, Owners will be required to transfer ownership to the Insurer prior to receiving a cheque for the sum insured of the Vehicle. See Insurance Policy Terms for a complete breakdown of the documents required by the Insurer in the event of total loss or Theft. 

In the event that a Vehicle is still under loan through a bank, said bank is referred to as the beneficiary and any and/or all cheques will be sent to them unless the Owner provides an “objection letter” from their bank.  

 

  1. RENTING VEHICLES 

 

  1. Publishing a Car and Availability 

 

Once a Vehicle is verified, it will be automatically published with the default settings. Owners can modify the Vehicle’s availability, rental preferences and Daily Rate from the Vehicle’s profile on the App 

 

Dryve has five Vehicle categories; dryve Y”, “dryve Direct”, “dryve Red”, “dryve Black”, and “dryve io. A Vehicle’s Market Value at the time of listing will determine which category it falls in and in turn the Vehicle’s Daily Rate range, daily Maintenance Fee, and Service Fees.  Owners will be able to determine their preferred Daily Rate within their Vehicle’s respective range as per Exhibit A

Post publish, Vehicles are subject to movement between Dryve categories depending on the likely decrease in Market Value over time. This in turn will also change the Vehicles Daily Rate range, Maintenance Fee, and Service Fees. 

Dryve reserves the right to unpublish a Vehicle for reasonable cause such as prolonged inactivity. Vehicles that do not respond to 3 consecutive Bookings will be automatically unpublished. 

  1. Booking a Vehicle 

 

Owners will have access to the profile of Dryvers that send them requests for their published Vehicle on the App. This profile will include the Dryver’s personal information, Booking history, and their Dryve profile details, including previous ratings and reviews. The Dryver’s Contact Information will only be accessible to Owners after successful payment. 

 

Dryvers will be notified when an Owner rejects or does not accept their Booking requests in the required time frame. When an Owner accepts a Booking Request, the Dryver is notified on the App and by email and will be required to pay the full amount of applicable Rental Charges through Fawry within the stated time-limit on the App from the Owner’s response. The Booking request is confirmed once the payment has been successfully made and the Owner has received confirmation on the App or by email. Only after payment is complete will Dryvers be able to contact Owners to request additional information regarding the exact Pick-up time and location. 

 

Once payment for the Booking has been made by the Dryver, the Owner shall be committed to the Booking and must provide the Vehicle for rental to the Dryver for the agreed upon Rental Period. 

 

To cancel a Booking request, Owners must contact Dryve directly and must be aware that they will be charged a Cancellation fee as stated in Exhibit B. This fee will be deducted from the Owner’s credit balance or from future Bookings 

 

  1. Pick-Up 

 

It is the sole responsibility of the Owner to ensure, at the time of the hand-over of the Vehicle to the designated Dryver, that the Vehicle meets all Vehicle Conditions and is safe to drive. 

 

Upon successful inspection by the Dryver of the Vehicle, both parties should sign the legal documents, including copies of the Rental Agreement, as provided by Dryve, two of which shall remain in the possession of the Owner for the duration of the trip.  

 

Before signing, both parties should fill in the provided Rental Agreement with all the details about the Owner, the Dryver, the Vehicle, and the Start and End Dates and times correctly filled out, and sign thereon. The Drop-off date and time fields in the Rental Agreement and the Release Form should not be filled out or signed until the actual Drop-off Date or in the event of an accident where the Dryver drops-off the Vehicle at one of the Approved Repair Centers. All times on the Rental Agreement should be diligently recorded. 

 

Pick-up is deemed successful in the event the following conditions are met: 

 

  1. The Owner has reviewed the Dryver’s driving license. The Owner must refuse delivery of the Vehicle if the person wishing to take possession of the Vehicle is unidentifiable or is not the Dryver as stated in the Dryve Rental Form; 

 

  1. The Rental Period begins when both the Owner and the Dryver agree on the condition of the Vehicle, sign the filled-out Rental Agreement and the legal documents provided on the App., complete the Pick-up Inspection Form on the App, and the Vehicle keys are handed over by the Owner to the Dryver 

 

Once Pick-up is complete, the Owner will receive a notification that his earnings have been transferred to him/her and are ready for collection at any Fawry outlet, or any other predetermined, available payment method and channel. 

 

  1. During the Rental Period 

 

Both Users will be able to contact each other during the Rental Period. 

 

Dryvers that exceed the stated average mileage of 250 km per day are subject an excess mileage fee for every extra km consumed payable to the Owner by the Dryver through Dryve, as stated in Clause E 

 

  1. Drop-Off 

 

At the end of the Rental Period and upon the return of the Vehicle, the Owner shall check the condition of the Vehicle, take and upload clear pictures of the Vehicle, and complete the Drop-off Inspection Form.  

At the time of Drop-off and prior to filling the Inspection Form, the Owner shall fill out the Drop-off Date and time fields on the Rental Agreement, complete and sign the Release Form and shall then give back to the Dryver all such legal documents that were signed at the time of Pick-up, keeping one copy of the Rental Agreement with him 

Failure to sign the Release Form by the Owner after receiving his car from the Dryver will incur a penalty of EGP 50,000 (Fifty Thousand Egyptian Pounds).  

The Owner undertakes the obligation to report to Dryve at Drop-off any damages that may have occurred to the Vehicle during the Rental Period.  In this event, Owners are required to fill in all the required fields on the App and upload clear, distinct unobstructed pictures of the damages 

Dryvers are required to return the Vehicle with the same fuel level as recorded at Pick-up. Failure to comply with such requirements will constitute a Penalty payable to the Owner by the Dryver through Dryve. 

The Owner shall be solely responsible to inquire about any sanctions, traffic fines or penalties imposed on the Vehicle, during the Rental Period and report to Dryve any charges incurred within a maximum period of 90 days from the respective Drop-off date. The respective Dryver will be fully liable to pay such fines. 

If a Vehicle has not been dropped-off post 24-hours of the agreed upon Drop-off time, and the Dryver has been unresponsive throughout that time, the Owner shall take all necessary legal actions against Dryver for the breach of trust and theft of his Vehicle with the competent authorities by virtue of the legal documents, including the Rental Agreement signed by Dryver at the time of Pick-up. The Owner must contact Dryve’s customer service immediately to inform them of the incident to suspend Dryver’s account. 

Dryvers will have the option to file a Dryver Dispute on the App. In said event, Dryve will review the submitted request, revert to both parties, and appropriately compensate/charge the User(s). Dryve’s decision will be final in such matters. 

Both Users will be asked to rate each other and their experience on the App. Dryve is not responsible for its Users’ peer reviews but reserves the right to remove any review by a User if it violates the laws in force, or Dryve considers the language inappropriate. 

 

  1. PENALTIES 

 

Dryve acts as an intermediary for payment and/or compensation in the event a Penalty occurs. Dryve shall deduct any applicable Penalties directly from liable Users through the original method of payment used. Failure to make payment in regard to Penalties, will place Owners at risk of having their account de-registered or suspended.  

 

Administrative Fees may also apply to the User charged with a Penalty. Late Fees and Excess Miles Fees will also be susceptible to Service Fees. Exhibit B illustrates the full breakdown of the Penalties 

 

By accepting the Terms, Dryvers and Owners recognize the following penalties, and accept such liability: 

 

  1. Late Fee: 

Dryvers shall be subject to a late fee if the Vehicle is returned after the agreed upon Drop-off date and time aforementioned in the Dryve Rental Form. The Dryver will be billed the daily Rental Charges for every day post the agreed-on Drop-off date  minus any discounts applied to the trip. In addition to the late fee, the Dryver shall bear any applicable legal fees. Service Fees will also apply for both the Dryver and Owner as stated in the Schedule below. 

 

  1. Unfilled Fuel Fee / Penalty: 

Dryvers that Drop-off Vehicles with lower than recorded fuel levels at Pick-up will be subject to a Penalty; 

 

  1. Traffic Fines: 

Dryvers are held completely liable for any and all traffic fines incurred during the Rental Period. A copy of the report must be submitted by the Owner and the fees for such will be deducted from the Dryver and reimbursed to the Owner once the Dryver makes the payment; 

  

  1. Excess Mileage Fee: 

Dryvers that exceed the effective 250 km limit of usage per day will be charged an “Excess Millage fee”. The amount of such fee is calculated as a direct factor of the daily Rental Charge. The fees for such will be deducted from the Dryver and fully refunded to the Owner. Service Fees will apply to the Owner; 

 

 

  1. Owner Cancellation Penalty: 

If the Owner cancels a confirmed Booking, after the full Rental Charges have been paid, 2 days before the Pick-up date, the Owner will be subject to a cancellation Penalty. 

 

  1. PAYMENT 

 

You agree and understand that your use of the Services provided via the App will result in Rental Charges, Service Fees, and Other Additional Charges. Dryve acts as an intermediary and shall be responsible for facilitating the payment of Fees and Charges to the designated Owner, Dryver, and to AXA, net of Dryve Commission and any Other Additional Charges, such as Administrative Fees as stated in the Fees Schedule found under Exhibit B. Administrative Fees are subject to changes over time at Dryve’s sole discretion 

 

Dryve’s liability to pay amounts to the Owner shall be limited to amounts paid by the Dryver and received by Dryve through the payment systems available on the App. 

 

Dryve reserves the right to pend and/or reverse invoices in the event of Dryver Disputes, Accidents, and miscalculations. Users should be aware that if an invoice is considered pending or reversed, payment will be delayed or canceled. Dryve’s decision will be final in such matters and all Users involved are required to accept such alterations to their invoice. 

 

Dryve currently facilitates payment to/from Dryvers through Fawry. Owners will receive a notification informing them when their funds are ready for collection at any Fawry outlet. Owners will receive a One-Time Password (OTP) via SMS to verify their identity and collect payments. Dryve will not be held liable nor will we refund Users in the event of a lost or stolen OTP or mobile phone. It is the Owner’s sole liability to make sure that his/her OTP is kept safe and not communicated to anyone.

 DRYVERS’ SUPPLEMENTAL TERMS 

 

PLEASE READAND ACCEPTTHESE SUPPLEMENTAL TERMS OF SERVICE CAREFULLY PRIOR TOREGISTERING AS A DRYVERANDACCESSING OR USING THE APP OR WEBSITE AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. THESE SUPPLEMENTAL TERMS SHOULD BE READ AND ACCEPTED IN CONJUCTION WITH THE TERMS AND CONDITIONS AND TOGETHER CONSTITUTE A SINGLE SET OF TERMS AND CONDITIONS FOR THE USE OF THE DRYVE APP, PLATFORM, OR WEBSITE. 

 
NOTE ALL OBLIGATIONS CONCERNING THE CONDITION OF VEHICLES PRIOR, DURING, AND POST THE RENTAL PERIOD, INSURANCE LIABILITES, AND PENALTIES. 

 

  1. KEY TERMS AND DEFINITIONS 

 

  1. The definitions and rules of interpretation in this clause apply to all provisions of the Dryvers’ Supplemental Terms. All other terms are defined in the Terms and Conditions: 

 

  1. Administrative Fee” is a fee charged by Dryve to cover expenses incurred as a result of administering and processing Penalties, Dryver Disputes, and Claim Forms; 

 

  1. “Claim” refers to a formal request sent by Users and/or Dryve to the Insurer for the Insurance Coverage to take effect for compensation for a Covered loss or damage to a Vehicle; 

 

  1. Conditions of Vehicle Use” means the definition given in Clause C.1; 

 

  1. “Daily Rate” refers to the daily rental price set by Owners, within a range set by Dryve, for their listed Cars prior to publishing and are a component of Rental Charges; 

 

  1. “Deductible” is the first loss payment and is the amount of money required by the Insurer to be paid by the Dryver in the event a Claim has been approved; 

 

  1. Drop-off Inspection Form” refers to the form with compulsory fields on the App required to be filled at Drop-off for the Rental Period to officially end. The Drop-off Inspection Form entails the recording of fuel and mileage levels, uploading clear pictures of the Vehicle, as well as pictures of any damages in the case of a Claim; 

 

  1. “Drop-off Date” refers to the date and time mentioned in the Rental Agreement and Release Form and represents the actual delivery date and time of the Booked Vehicle from the Dryver back to the Owner at Drop-off. It is separate from the End Date; 

 

  1. “Dryver Dispute” refers to the disagreement submitted by the Dryver to any of the following information entered on the Drop-off Inspection Form: (i) fuel levels; (ii) excess mileage; and (iii) damages; 

 

  1. “Dryver Registration Process” means the mandatory processes, as described in Clause B, that applicants need to undertake to be classified and recognized as Dryvers. It includes the submission of documents and other onboarding procedures deemed necessary at the discretion of Dryve; 

 

  1. End Date” is the date mentioned in the Rental Agreement as the “End Date for the term of the Rental Agreement and is separate from the Drop-off date; 

 

  1. Exclusions to Vehicle Use” means the definition given in Clause C.2; 

 

  1. “Legally Binding Documents” means the documents stated in Clause B  to be signed by each applicant post their selection; 

 

  1. Maintenance Fee” means the daily sum paid, accounting for the Vehicle’s service and maintenance. Maintenance Fees are calculated by Dryve based on the Vehicle’s category and are a component of Rental Charges; 

 

  1. “Nactia” refers to Nacita Auto Care with the website: www.autocare.nacita.com. Nacita Inspections are highly recommended and may be obligatory for some Cars; 

 

  1. “Penalty” refers to any monetary fine that may be applied to a User for any violation committed during and/or the Rental Period. Compensation and/or reimbursement shall be deducted by Dryve in favor of the disadvantaged User and/or Dryve, from the advantaged User. A complete list of what constitutes as a penalty can be found in Clause E; 

 

  1. “Pick-up Inspection Form” refers to the form with compulsory fields on the App required to be filled out at Pick-up for the Rental Period to officially begin. The Pick-up Inspection Form entails recording of fuel and mileage levels, uploading clear pictures of the Vehicle, and pictures of any pre-existing damages; 

 

  1. “Release Form” refers to the form which makes up part of the Rental Agreement required to be filled and signed by the Owner upon the receipt of his Vehicle, marking the termination of the Rental Agreement and the discharge of Dryver of his obligations under the Rental Agreement; 

 

  1. “Start Date” is the date mentioned in the Rental Agreement as the “Start Date for the term of the Rental Agreement and is concomitant with the Pick-up date; 

 

  1. “Theft” refers only to theft by third parties and excludes breach of trust by Dryver and/or Owner. 

 

  1.  Where the expression “including” is used, this is to be constructed as being immediately followed by the expression “without limitation. 

 

  1. Definitions include the singular/plural term. 

 

 

  1. DRYVER REGISTRATION PROCESS 

 

 

  1. Dryver Registration 

Users mustprovide and/or sign the following documents in order to successfully register as a Dryver: 

 

  1. Valid national ID, 
  1. Valid Driving License, 
  1. Criminal Record, 
  1. Proof of Residency, 
  1. Dryve Agreement, 
  1. Any other documents Dryve would require the Dryver to sign or submit for activating and verifying a Dryver account. 

Only after Dryve has received and verified the documents it deems necessary will a User become a verified Dryver and can make Bookings. 

The collection and use of such information is as provided in Dryve’s Privacy Policy. You hereby undertake to provide true, accurate, and complete information and that you will be responsible for ensuring that the information and Contact Information is up-to-date at all times. 

Dryve, reserves the right to refuse handing over Legally Binding Documents, and use them if need be, if a Dryver has unpaid balances or has failed to see through any Dryver obligations and liabilities under the Terms and Supplemental Terms. Further, the Dryver may be held liable for the breach of his obligations under the Dryve Agreement and penalties provided for therein shall apply. 

  1. Dryver Account 

 

You acknowledge responsibility for your account and any activities or transactions on your account. You agree to maintain the secrecy of your information on your account including your username and password for its access.  

 

You understand and acknowledge that you may not allow other individuals to use your credentials to rent Vehicles on the App, conduct Bookings or in any way deal with other Users on the App, and that you shall be held solely liable for any damages or liabilities arising out of such use caused to Owners, Dryve or other affected parties without prejudice to their right to invoke legal action or proceedings against you and the other User to the full extent permissible under Egyptian law. 

 

  1. Dryver De-registration 

 

Dryve reserves the right to de-register or suspend any User who has previously been successfully registered as a Dryver in case of his breach of the Terms and Conditions, the Dryve Agreement and/or the provisions of the Rental Agreement or has acted in a way negatively impacting the reputation of Dryve, and to reject any attempt by any applicant to register as a User. 

 

Any Bookings made by Users that have been de-registered, shall be considered to have been cancelled and terminated. 

All Legally Binding Documents will be terminated and returned to the Dryver within 90 days, should the Dryver de-register. Once terminated, any upheld relationship between the Dryver, Dryve and its Users is no longer deemed on-going or valid. 

  1. INSURANCE  

 

The Insurance Policy, provided by AXA and arranged through Dryve, covers total loss, partial loss and/or damage to the Vehicle during the Rental Period as per the Insurance Policy Terms. Insurance Coverage will initiate at Pick-up and cease at Drop-off. Only Booked Vehicles will receive Insurance Coverage. Insurance covers Vehicles with manufacturing dates that do not exceed 18 years. In case of a successful Claim, Vehicles are required to be repaired at an Approved Repair Center. The Insurer shall cover certain risks as summarized below and detailed in the Insurance Policy Terms. 

 

Dryvers are deemed liable for any Deductibles that would be required in the event of successful Claim due to damage or loss to the Vehicle during the Rental Period. Deductibles currently start at EGP 3,000, in addition to all Special Terms, and are subject to changes from time to time at Dryve’s and AXA’s discretion. 

 

  1. Conditions of Vehicle Use 

 

Dryver’s will be selected and kept onboard assuming they fit and adhere to the below criteria and conditions. Dryvers must adhere to the Conditions of Vehicle Use to deem them eligible for Insurance Coverage. 

 

  1. Dryvers must be a minimum of 21 years of age; 
  1. Dryvers must be under 65 years of age; 
  1. Dryvers must be Egyptian or have valid proof of residency; 
  1. Dryvers must have a valid Egyptian license in accordance with all traffic act and other laws and regulations. International licenses are prohibited; 
  1. Dryvers must have a valid driving license during the entire Rental Period; 
  1. Vehicles should not, under any circumstances, be driven by anyone else other than the verified Dryver; 
  1. Dryvers are required to safely lock and remove keys when outside of the Vehicle; 
  1. Dryvers must properly inspect and photograph the Vehicle clearly at Pick-Up; 
  1. In the event of a major accident that constitutes as Theft, fire, third-party liability, or is deemed total loss, a police report must be filed. 

 

  1. Exclusions to Vehicle Use 

 

Should a Booked Vehicle be subject to damage or loss that surrounds the below stated Exclusions to Vehicle Use or coverage limitations, the Dryver will be considered fully liable for any loss or damages and should accept any legal and/or financial charges and/or Penalties that may arise. AXA in turn will not be held liable to provide any Insurance Coverage that arises from said Claims. 

 

  1. Any activity that violates Egyptian law, which includes anything from any and all parking or other traffic violations to robberies and other crimes; 
  1. General negligence to the Vehicle such as leaving it unattended with keys inside; 
  1. Any accidental loss or damage caused to a third party’s property or Vehicle. 

 

Coverage does not apply to the following geographical areas: 

  1. Airport Aprons; 
  1. Airport Taxiways; 
  1. Airport Runways; 
  1. Areas past security gates in terminal buildings; 
  1. Accidents and or loss anywhere outside of the Arab Republic of Egypt. 

 

  1. Special Terms 
  1. Radios or other fixed media devices are limited to their total assessed value or 2% of the Vehicle’s value, depending on whichever is lower; 
  1. Dryvers bear 25% of the value of airbags in the event of total or partial loss during an accident; 
  1. Dryvers bear 25% of the value of the sunroof/panorama glass and its components in the event of total or partial loss during an accident;  
  1. A Vehicle is considered a total loss/ write-off if it costs more than 50% of its independently assessed market value to repair. 

 

SHOULD DRYVERS NOT MEET THE ABOVE CONDITIONS OF VEHICLE USE AND/OR THE DAMAGE/LOSS TO THE BOOKED VEHICLE HAS BEEN A CAUSE OF THE EXCLUSIONS TO VEHICLE USE, AND/OR THE VEHICLE IS TRANSFERRED, BY THE DRYVER, FOR REPAIR AT A SERVICE CENTER WHICH IS NOT AN APPROVED REPAIR CENTER, AXA IS NO LONGER LIABLE TO PROVIDE INSURANCE COVERAGE. THE DRYVER WILL THEN BE CONSIDERED FULLY LIABLE FOR THE REPAIR OR REPLACEMENT OF THE DAMAGED VEHICLE AND SHOULD ACCEPT ANY CHARGES AND/OR PENALTIES THAT ARISE. 

Dryvers and Owners must take and upload clear distinct and unobstructed pictures at Pick-Up and Drop-Off for the Insurance Coverage and any respective Claim to be deemed valid. 

 

Dryvers are required to submit Claims for major damage that occurs to a Vehicle during the Rental Period through the App or via telephone to Dryve’s customer service center. Major damage is said to occur when the Vehicle is immobile and can no longer complete its Rental Period. Dryvers will be required to file and upload on the App a copy of the police report along with the Claim Form if the damage constitutes as Theft, fire, third-party liability, or is deemed total loss. 

 

In the case an accident was reported, the Insurance Claim is approved by AXA, and the Dryver has paid all relevant Deductibles, the Owner must return all legal documents signed by the Dryver at the time of Pick-up, except one copy of the Rental Agreement. Failure to comply by the Owner to this requirement will result in non-reimbursement and/or nonpayment of any Deductibles due by the Dryver. Release of any outstanding amounts will only occur upon confirmation by the Dryver of their receipt of the legal documents previously signed thereby during the Pick-up, including one copy of the Rental Agreement with the Release Form signed and completed.  

In the event of an accident and post the submission of a Claim Form by the Dryver, the Dryver assumes the responsibility of transferring the Vehicle to one of the Owners chosen Approved Repair Centers as stated on the App. 

 

Dryvers must review and make sure that all inputted information is accurate prior to submitting their Claim. Claim Forms will be thoroughly examined. In the event that any information has been found to be stated with malicious and/ or fraudulent intentions, the Claim will be deemed void and rejected.

  1. RENTING VEHICLES 

 

  1. Booking a Vehicle 

 

Once a Dryver has successfully registered and has been fully onboarded, they can then consult the Vehicles published by Owners directly on the App using the search tools provided. 

 

Dryve has five Vehicle categories; “dryve Y”, “dryve Direct”, “dryve Red”, “dryve Black”, and “dryve io”. A Vehicle’s Market Value at the time of listing will determine which category it falls in and in turn the Vehicle’s Daily Rate range, daily Maintenance Fee, and Service Fees.  Owners will be able to determine their preferred Daily Rate within their Vehicle’s respective range as per Exhibit A

Certain Owners will be required to undertake Nacita inspections for their Cars, while others may skip and have the Vehicle’s first Dryver carry out the inspection on the Owner’s behalf. Inspection costs will be fully borne by the Owner and will be deducted from the trip’s Rental Charges and refunded to the Dryver once the inspection report is uploaded on the App.  

 

Dryve shall make reasonable effort to ensure that all the Vehicles listed on the App meet a standard that allows them to pass the Nacita inspection. Dryve does not, however, guarantee that all Vehicles will pass the inspection and advises that you predetermine, depending on your intended use, the minimum Vehicle requirements before starting the Rental Period at your own risk. Dryvers are solely liable for all Rental Charges, Service Fees and Other Additional Charges incurred from Booking a Vehicle, regardless of its inspection results. Vehicles with a positive inspection result will be clearly marked with a green tick mark on the App. 

 

Once a Dryver picks a suitable Vehicle, they are then able to send Booking requests to Owners. Dryvers can have up to  five active Booking requests for the same Rental Period at any one time. The first Booking accepted by an Owner will automatically cancel all other Booking requests for the same Rental Period. 

 

Dryvers will be notified when an Owner rejects or does not accept their Booking requests in the required time frame.  

 

When an Owner accepts a Booking Request, the Dryver is notified on the App and by email and is required to pay the full amount of applicable Charges through Fawry within the stated time-limit on the App from the Owner’s response. The Booking request is confirmed once the payment has been successfully made and the Owner has received confirmation on the App or by email. Only after payment is complete will Dryvers be able to contact Owners to request additional information regarding the exact Pick-up time and location. 

 

Once payment for the Booking has been made by the Dryver, the Owner shall be committed to the Booking and must provide the Vehicle for rental to the Dryver for the agreed upon Rental Period. 

 

If the Owner cancels the Booking request, which can only be done by contacting Dryve directly, you will be notified. Dryve will fully refund the amount you paid for the Booking. 

 

If you fail to show-up at Pick-up or wish to cancel the Booking, you will be subject to a Dryver cancellation fee. 

 

  1. Pick-Up 

 

It is the sole responsibility of the Owner to ensure, at the time of the hand-over of the Vehicle to the designated Dryver, that the Vehicle meets all Vehicle conditions, is safe to drive, and can complete the Rental Period. 

 

Upon successful inspection by the Dryver of the Vehicle, both parties should sign the legal documents, including copies of the Rental Agreement, as provided by Dryve, two of which shall remain in the possession of the Owner for the duration Rental Period.  

 

Before signing, both parties should fill in the provided Rental Agreement with all the details about the Owner, the Dryver, the Vehicle, and the Start and End Dates and times correctly filled out, and sign thereon. The Drop-off Date and time fields in the Rental Agreement and the Release Form should not be filled out or signed until Drop-off or in the event of an accident where the Dryver drops-off the Vehicle at one of the Approved Repair Centers. All times on the Rental Agreement should be diligently recorded. 

 

Pick-up is deemed successful in the event the following conditions are met: 

  1. The Dryver has brought along all necessary documents relating to his identification for the Owner to review, including his valid driving license and any government-issued form of identification. The Owner will refuse delivery of the Vehicle if the person wishing to take possession of the Vehicle is unidentified or is not the Dryver as stated in the Dryve Rental Form.  

 

  1. The Pick-Up Inspection Form is completed and agreed upon by both parties. The Rental Period begins when both the Owner and the Dryver agree on the condition of the Vehicle, sign the filled-out Rental Agreement and the legal documents provided on the App, complete the Pick-up Inspection Form, and the Vehicle keys are handed over by the Owner to the Dryver. 

 

  1. During the Rental Period 

 

Both Users will be able to contact each other during the Rental Period.  

 

Dryvers that exceed the stated average mileage of 250 km per day are subject an excess mileage fee for every extra km consumed payable to the Owner through Dryve, as stated in Clause E. 

  

Dryvers are financially liable for any traffic fines and violations that may be committed during the Rental Period. 

 

  1. Drop-Off 

 

At the end of the Rental Period and upon the return of the Vehicle, the Dryver and the Owner shall check the condition of the Vehicle, take and upload clear pictures of the Vehicle, and complete the Drop-off Inspection Form.  

 

At the time of Drop-off and prior to filling the Inspection Form, the Owner shall fill out the Drop-off Date field, complete and sign the Release Form and shall then give back to the Dryver all such legal documents that were signed at the time of Pick-up, keeping one copy of the Rental Agreement with him. 

 

Dryvers are required to return the Vehicle’s license and keys to the Owner and the Vehicle in a clean condition with the same fuel level as that recorded at Pick-up, and within the mileage limit for the duration of the Rental Period. Failure to comply with such requirements will constitute in a Charge or Penalty payable to the Owner by the Dryver through Dryve. 

 

If a Vehicle has not been dropped-off post 24-hours of the agreed upon Drop-off time on the Dryve Model Rental Agreement, and the Dryver has been unresponsive throughout that time, the Owner shall take all necessary legal actions against Dryver for the breach of trust and theft of his Vehicle with the competent authorities by virtue of the legal documents, including the Rental Agreement signed by Dryver at the time of Pick-up. The Owner must contact Dryve’s customer service immediately to inform them of the incident to suspend Dryver’s account. Necessary procedures for the recovery of the Vehicle will follow. and the Dryver shall be held liable for his breach of the Dryve Agreement and for causing damage to Dryve’s reputation.  

 

Dryvers will have the option to file a Dryver Dispute on the App. In said event, Dryve will review the submitted request, revert to both parties, and appropriately compensate/charge the User(s). Dryve’s decision will be final is such matters. 

 

Both parties will be asked to rate each other and their experience on the App. Dryve is not responsible for its Users’ peer reviews but reserves the right to remove any review by a User if it violates the laws in force, or Dryve considers the language inappropriate. 

 

  1. PENALTIES 

 

Dryve acts as an intermediary for payment and/or compensation in the event a Penalty occurs. Dryve shall deduct any applicable Penalties directly from liable Users through the original method of payment used. Failure to make payment in regard to Penalties, will place Owners at risk of having their account de-registered or suspended.  

 

Administrative Fees may also apply to the User charged with a Penalty. Late Fees and Excess Miles Fees will also be susceptible to Service Fees. Exhibit B illustrates the full breakdown of the Penalties 

 

By accepting the Terms, Dryvers and Owners recognize the following penalties, and accept such liability: 

 

  1. Late Fee: 

Dryvers shall be subject to a Fee if the Vehicle is returned after the agreed upon Drop-off date and time aforementioned in the Dryve Rental Form. The Dryver will be billed the daily Rental Charges for every day post the agreed-on Drop-off date minus the discounts applied to the trip plus an admin fee stated in Exhibit B below. In addition to the late fees, the Dryver shall bear any applicable legal fees. Service Fees will also apply for both the Dryver and Owner; 

 

  1. Unfilled Fuel Fee / Penalty: 

Dryvers that Drop-off Vehicles with lower than recorded fuel levels at Pick-up will be subject to a Penalty; 

 

  1. Traffic Fines: 

Dryvers are held completely liable for any and all traffic fines incurred during the Rental Period. A copy of the report must be submitted by the Owner and the fees for such will be deducted from the Dryver and reimbursed to the Owner once the Dryver makes the payment; 

  

  1. Excess Mileage Fee: 

Dryvers that exceed the effective 250 km limit of usage per day will be charged an “Excess Millage Fee”. The amount of such fee is calculated as a direct factor of the daily Rental Charge. The fees for such will be deducted from the Dryver and fully refunded to the Owner. Service Fees will apply to the Owner; 

 

  1. Dryver Cancellation Penalty: 

If the Dryver cancels a confirmed Booking, after the full Rental Charges have been paid and 2 days before the Pick-up date, the Dryver will be subject to a cancellation Penalty. 

 

  1. PAYMENT 

 

You agree and understand that your use of the Services provided via the App will result in Rental Charges, Service Fees, and Other Additional Charges. Dryve acts as an intermediary and shall be responsible for facilitating the payment of said fees and charges to the designated Owner, Dryver, and to AXA, net of Dryve Commission and any Other Additional Charges, such as Administrative Fees as stated in the Fees Schedule found under Exhibit B. Administrative Fees are subject to changes over time at Dryve’s sole discretion.  

 

Dryve reserves the right to pend and/or reverse invoices in the event of Dryver Disputes, Accidents, and miscalculations. Users should be aware that if an invoice is considered pending or reversed, payment will be delayed or canceled. Dryve’s decision will be final in such matters and all Users involved are required to accept such alterations to their invoice.  

 

Dryve currently facilitates payments from Dryvers through Fawry. Once at a Fawry outlet, Dryvers will be made aware of their Dryve balance and any outstanding fees from previous Bookings. You will not be able to Book nor start a trip unless all outstanding balances, from previous and upcoming trips, have been completely paid off.  

 

In the case of a refund, Dryvers will receive a message informing them that their funds are ready for collection at any Fawy outlet. Dryvers will receive a One-Time Password (OTP) via SMS to verify their identity and collect payments. Dryve will not be held liable nor will refund Users in the event of a lost or stolen OTP. It is the Dryver’s sole liability to make sure that his/her OTP is kept safe and not communicated to anyone.

INSURANCE POLICY TERMS 

PLEASE NOTE ALL OBLIGATIONS CONCERNING THE CONDITION OF THE VEHICLE PRIOR TO THE RENTAL, AS WELL AS ALL CONDITIONS, EXCLUSIONS, SPECIAL TERMS, AND CLAIMS. 

 

  1. KEY TERMS AND DEFINITIONS 

 

  1. The definitions and rules of interpretation in this clause apply to all provisions of the Insurance Policy Terms.  

 

  1. “Administrative Fee” is a fee charged by Dryve to cover expenses incurred as a result of administering and processing Penalties, Dryver Disputes, and Claim Forms; 

 

  1. “App” refers to the Dryve application, or Website, which is the medium by which Dryve offers its Services to Users. App may be used interchangeably with Website, site, and/or platform; 

 

  1. Approved Repair Center” refers to the dealers, sub-dealers, and workshops approved by Dryve and AXA to repair Vehicles that have undergone any loss or damage that constitute as part of the Insurance Coverage; 

 

  1. “AXA” refers to AXA General Insurance Egypt S.A.E with the web address: www.axa-egypt.com. AXA is a subsidiary of AXA Group in France. AXA is interchangeably referred to as the Insurer with reference to the partnership with Dryve as detailed in the Insurance Policy Terms; 

 

  1. “Claim” refers to a formal request sent by Users and/or Dryve to the Insurer for the Insurance Coverage to take effect for compensation for  Covered Loss or damage to a Vehicle; 

 

  1. “Claim Form” means the form sent to AXA detailing the damage and/ or loss done to a Vehicle during the Rental Period. It is completed by either Dryve, the Owner, or the Dryver and can be done by filling out all the required fields on the App; 

 

  1. “Conditions of Vehicle Use” means the definition given in Clause C.1; 

 

  1. “Covered Loss” means the amount covered by the Insurance Policy in the case of a successful Claim, less any Deductibles, and in the case of partial or total loss as determined by the provisions set in Clause B based on the accepted Sum Insured; 

 

  1. “Deductible” is the first loss payment and is the amount of money required by the Insurer to be paid by the Dryver in the event a Claim has been approved; 

 

  1. “Drop-off” refers to the agreed upon date, time, and location whereby both Users meet, diligently inspect the Vehicle, complete the Drop-off Inspection Form, and the Dryver hands back over the Vehicle to the Owner, marking the end of the Rental Period; 

 

  1. Drop-off Inspection Form” refers to the form with compulsory fields on the App required to be filled at Drop-off for the Rental Period to officially end. The Drop-off Inspection Form entails the recording of fuel and mileage levels, uploading clear pictures of the Vehicle, as well as pictures of any damages in the case of a Claim; 

 

  1. “Dryver” refers to any User who has successfully completed and passed the Dryver Registration Process, outlined in the Supplemental Terms, enabling them to rent out Vehicles from Owners; 

 

  1. “Exclusions to Vehicle Use” means the definition given in Clause D.1; 

 

  1. Insurance Coverage” refers to the conditions and exclusions of cover, and the type and amount of financial coverage for insured Vehicles. Vehicles are covered only during the Rental Period. Insurance Coverage is used interchangeably with Coverage; 

 

  1. “Insurance Policy” refers to the policy provided by AXA and arranged through Dryve. The Insurance Policy states the relationship between the Insurer and the Policy Holder as well the Insurance Fees and Claims process; 

 

  1. “Insurer” refers to AXA with reference to the partnership with Dryve; 

 

  1. “Maintenance Fee” means the daily sum paid, accounting for the Vehicle’s service and maintenance. Maintenance Fees are calculated by Dryve based on the Vehicle’s category and are a component of Rental Charges;  

 

  1. “Market Value” means the market value of Cars on Dryve calculated at the time of listing using an integrated Contact Cars API. The Market Value is determined by the Vehicle’s make, model, year, and mileage, and is determined using its average price on the Contact Cars website over 6 months prior to the listing date; 

 

  1. “Nactia” refers to Nacita Auto Care with the website: www.autocare.nacita.com Nacita Inspections are highly recommended and may be obligatory for some Cars; 

 

  1. “Owner” refers to any applicant who has filled in all mandatory fields in the Owner’s registration form on the App and has successfully listed a verified Vehicle as detailed in the Supplemental Terms; 

 

  1. “Penalty” refers to any monetary fine that may be applied to a User during the Rental Period. Compensation and/or reimbursement shall be deducted by Dryve in favor of the advantaged User and/or Dryve, from the disadvantaged User; 

 

  1. “Pick-up” refers to the agreed upon date, time, and location whereby both Users meet, diligently inspect the Vehicle, complete the Pick-up Inspection Form, and the Owner hands over the Vehicle to the Dryver, marking the beginning of the Rental Period; 

 

  1. “Pick-up Inspection Form” refers to the form with compulsory fields on the App required to be filled at Pick-up for the Rental Period to officially begin. The Pick-up Inspection Form entails recording of fuel and mileage levels, uploading clear pictures of the Vehicle, and pictures of any pre-existing damages; 

 

  1. “Policy Holder” refers to Dryve with reference to its role in the Insurance Policy provided by AXA; 

 

  1. Rental Period” means the period from Pick-Up to Drop-Off whereby the Owner’s Vehicle is in the Dryvers possession while he is on a Booking; 

 

  1. “Services” refers to your access and use of the Dryve App and all its offered utilities as stated in the Terms & Conditions; 

 

  1. “Service Fees” is a variable percentage fee payable by both Dryvers and Owners, and is calculated based on the Vehicle’s category. Service Fees are inclusive of insurance premiums, Dryve Commission, and address a number of other costs including customer service. Service Fees apply to Late Fee Penalties and Excess Mileage Penalties. See Exhibit B in the Supplemental Terms for a complete breakdown; 

 

  1. “Sum Insured” means the definition given in Clause B; 

 

  1. “Theft” refers only to theft by third parties and excludes breach of trust by Dryver and/or Owner; 

 

  1.  “User” refers to any person who has an active account on the App. This term is used to refer to either Dryvers or Owners; 

 

  1. “Vehicle” refers to any Car listed by its Owner, successfully verified by Dryve, and published on the App for Dryvers to rent;  

 

  1. “Vehicle Conditions” means the definition given in Clause C.2; 

 

  1. “Vehicle Exclusions” means the definition given in Clause D.2; 

 

 

  1.  Where the expression “including” is used, this is to be constructed as being immediately followed by the expression “without limitation. 

 

  1. Definitions include the singular/plural term. 

 

 

  1. TYPE OF COVERAGE 

 

Dryve is neither an insurance company nor an insurance broker. Dryve does not directly or indirectly insure Vehicles rented through the App. Dryve is named a Policy Holder on the Insurance Policy and is not a direct Insurer. If you receive protection under this policy, your Coverage is provided by Dryve’s insurance partner, AXA.  

 

Dryve has arranged for comprehensive insurance from AXA to cover Vehicles during the Rental Period. Insurance Coverage will initiate at Pick-up and cease at Drop-off.  Insurance is obligatory and an integral part of Dryve’s process and operations. Only Booked Vehicles will receive Insurance Coverage. Insurance covers Vehicles with manufacturing dates that do not exceed 18 years. In case of a successful Claim, Vehicles are required to be repaired at an Approved Repair Center. 

 

The Insurance Policy, covers total loss, partial loss and/or damage to the Vehicle during the Rental Period. Vehicles are categorized and insured according to their Market Value at the time of listing.  

 

Premium rates vary according to a Vehicle’s Market Value and will be deducted from both the Dryver and the Owner as part of the Service Fee. Dryve, in accordance with AXA, reserves the right to change premium rates over time.  

 

Vehicles are subject to a maximum Coverage amount of either EGP 350,000 or EGP 750,000 depending on their Market Value at the time of publishing. Vehicles with a Market Value less than or equal to EGP 350,000 at the time of publishing will be insured up to EGP 350,000, while Vehicles with a Market Value above EGP 350,000 at the time of publishing will be insured up to EGP 750,000 ("Sum Insured"). 

 

The Sum Insured will be displayed during the publishing process on the App and by successfully publishing their Vehicle, the Owner is deemed to have accepted his Vehicle’s Sum Insured. Owners hereby acknowledge that they understand and agree that the accepted Sum Insured shall be the basis for the calculation of the Coverage amount under the Insurance Policy.  

 

Dryve reserves the right to share User and Vehicle identifiable information with AXA for the sake of providing Insurance Coverage and investigating Claim Forms. The collection and use of such information is as provided in Dryve’s Privacy Policy. 

 

The minimum number of days a Vehicle can be rented for the Insurance Coverage to apply is two days. 

 

In the case of a total or partial loss Claim, independent loss adjusters sent by AXA, will determine the value of the Vehicle and reserve the right to determine whether a Vehicle is in a state of total or partial loss at their sole discretion.  

 

In the case of partial loss, if the value of the insured Vehicle, as determined by the independent loss adjuster, exceeds the Sum Insured at the time of the accident, the Covered Loss will be equal to the Claim amount multiplied by the ratio of the Sum Insured to the determined value of the Vehicle.  

 

In the case of a total loss, the Covered Loss will be determined by the lower of the Vehicle’s value at the time of the accident, as determined by the independent loss adjuster, or the Sum Insured. 

 

During listing, Owners will be required to choose a minimum of three different Approved Repair Centers that cater to their Vehicle’s manufacture year and make: 

 

  1. Vehicles aged 5 years or less from the time of their listing can be repaired at “dealers”, “sub dealers”, and/or “workshops”.  
  1. Vehicles aged more than 5 years from their listing date and up to 18 years can only be repaired at “workshops”.  

Owners will be notified when their Vehicle shifts from i. to ii. and may be required to update their chosen Approved Repair Centers to fit the criteria. 

 

If a Vehicle is repaired at an Approved Repair Center that is within the AXA network (labelled as "Direct Billing" centers on the App), Owners will only be required to pay the Deductible when collecting their Vehicle from the Repair Center. Owners will receive reimbursement for the Deductible which is payable by Dryver through Dryve. 

 

If a Vehicle is repaired at an Approved Repair Center that is not within the AXA network (labelled as "Pay and Reimburse" centers on the App), Owners will be required to pay the total repair cost, which includes the Deductible, when collecting their Vehicle from the Repair Center. Owners will receive reimbursement for the Deductible which is payable by Dryver through Dryve, and reimbursement for the remaining repair cost from AXA. Owners will be required to send the repair cost invoice when requesting for any reimbursement. 

 

The repair centers are clearly labelled as "Direct Billing" or "Pay & Reimburse" on the App. 

 

  • Vehicles aged more than 10 years cannot be repaired at “dealers” and/or “sub-dealers”. 
  • Vehicles must be repaired at an Approved Repair Center. If the Vehicle is repaired at a repair center not on the list of Approved Repair Centers, it is considered outside of Coverage and AXA will no longer be held liable to provided Insurance Coverage. 
  • Vehicles aged more than 18 years are excluded from the policy. 

In the event that Owners of Vehicles aged 6-10 years from their listing date choose to have their Vehicle repaired at a dealer and/or sub-dealer, they will be charged 25% of the Claim amount. 

 

  1. CONDITIONS 

 

Users and Vehicles must adhere to certain requirements and conditions making them eligible for Insurance Coverage.   

 

  1. Conditions of Vehicle Use: 

DRYVER’S WILL BE SELECTED AND KEPT ONBOARD ASSUMING THEY FIT AND ADHERE TO THE BELOW CRITERIA AND CONDITIONS. DRYVERS MUST ADHERE TO THE CONDITIONS OF VEHICLE USE TO DEEM THEM ELIGIBLE FOR INSURANCE COVERAGE, SHOULD DRYVERS NOT MEET THE BELOW CONDITIONS OF VEHICLE USE, AXA IS NO LONGER LIABLE TO PROVIDE INSURANCE COVERAGE AND THE DRYVER WILL BE CONSIDERED FULLY LIABLE FOR THE REPAIR OR REPLACEMENT OF THE DAMAGED VEHICLE AND SHOULD ACCEPT ANY CHARGES AND/OR PENALTIES THAT ARISE. 

 

  1. Dryvers must be a minimum of 21 years of age; 
  1. Dryvers must be under 65 years of age; 
  1. Dryvers must be Egyptian or have valid proof of residency; 
  1. Dryvers must have a valid Egyptian license in accordance with all traffic act and other laws and regulations. International licenses are prohibited; 
  1. Dryvers must have a valid driving license during the entire Rental Period; 
  1. Vehicles should not, under any circumstances, be driven by anyone else other than the verified Dryver; 
  1. Dryvers are required to safely lock and remove keys when outside of the Vehicle; 
  1. Dryvers must properly inspect and photograph the Vehicle clearly at Pick-Up; 
  1. In the event of a major accident that constitutes as Theft, fire, third-party liability, or is deemed a total loss, a police report must be filed. 

 

  1. Vehicle Conditions: 

OWNERS MUST MAKE SURE THAT THEIR VEHICLES ADHERE TO CERTAIN REQUIREMENTS AND CONDITIONS TO MAKE THEM ELIGIBLE FOR INSURANCE COVERAGE. SHOULD VEHICLES NOT MEET THE STATED VEHICLE CONDITIONS AND/OR THE DAMAGE/LOSS TO THE BOOKED VEHICLE HAS BEEN STATED IN THE VEHICLE EXCLUSIONS, AXA IS NO LONGER LIABLE TO PROVIDE INSURANCE COVERAGE. OWNERS ARE THEN CONSIDERED FULLY LIABLE FOR THE REPAIR OF A DAMAGED VEHICLE AND SHOULD ACCEPT ANY CHARGES AND/OR PENALTIES THAT ARISE. 

 

  1. All Vehicles must have a valid Egyptian car license in accordance with all traffic act and other laws and regulations. Licenses cannot expire during the Rental Period;  
  1. Owners must properly inspect and photograph the Vehicle clearly at Drop-Off indicating any apparent loss or damage that has occurred to their Vehicle during the Rental Period. 

 

  1. EXCLUSIONS 

 

  1. Exclusions to Vehicle Use: 

Should a Booked Vehicle be subject to damage or loss that surrounds the below stated Exclusions to Vehicle Use or coverage limitations, the Dryver will be considered fully liable for any loss or damages and should accept any legal and/or financial charges and/or Penalties that may arise. AXA, in turn, will not be held liable to provide any Insurance Coverage that arises from said Claims. 

 

  1. Any activity that violates Egyptian law, which includes anything from any and all parking or other traffic violations to robberies and other crimes; 
  1. General negligence to the Vehicle such as leaving it unattended with the keys inside; 
  1. Any accidental loss or damage caused to a third party’s property or vehicle. 

 

  1. Coverage does not apply to the following geographical areas: 
  1. Airport Aprons; 
  1. Airport Taxiways; 
  1. Airport Runways; 
  1. Areas past security gates in terminal buildings; 
  1. Accidents and or loss anywhere outside of the Arab Republic of Egypt. 

 

Booked Vehicles will not be covered by the Insurer, and the Owner will be fully liable in the event that the damage or loss occurred surrounds the below exclusions: 

 

  1. Vehicle Exclusions: 
  1. Any personal belongings that are in the Vehicle at the time of the accident; 
  1. Minor scratches and abrasions to the Vehicle; 
  1. Any existing damage to the Vehicle prior to Pick-up of the Vehicle; 
  1. Vehicles with a manufacturing year more than 18 years old; 
  1. Terrorist attacks; 
  1. Revolutions, rebellions, and military coups. 

 

  1. SPECIAL TERMS 

The following is a list of special terms set by the Insurer in the Insurance Policy: 

  1. Radios or other fixed media devices are limited to their total assessed value or 2% of the Vehicle’s value, depending on whichever is lower; 
  1. Dryvers bear 25% of the value of airbags in the event of total or partial loss during an accident; 
  1. Dryvers bear 25% of the value of the sunroof/panorama glass and its components in the event of total or partial loss during an accident;  
  1. A Vehicle is considered a total loss/ write-off if it costs more than 50% of its independently assessed market value to repair. 

 

 

  1. CLAIMS PROCESS 

DRYVERS AND OWNERS MUST TAKE AND UPLOAD CLEAR DISTINCT AND UNOBSTRUCTED PICTURES AT PICK-UP AND DROP-OFF FOR THE INSURANCE COVERAGE AND ANY RESPECTIVE CLAIMS TO BE DEEMED VALID. 

 

In the case that Vehicles meet the Vehicle Conditions and the damage or loss does not surround the Vehicle Exclusions, Dryvers will be deemed liable for any Deductibles that would be required in the event of a successful Claim due to damage or loss to the Vehicle during the Rental Period. Owners will be required to pay the Deductible when receiving their Vehicle from the Approved Repair Center and will later receive reimbursement for it from the Dryver through Dryve. Deductibles currently start at EGP 3,000, in addition to all Special Terms, and are subject to changes from time to time at Dryve’s and AXA’s discretion. 

 

Both Owners and Dryvers must review and make sure that all inputted information is accurate prior to submitting their Claim Form. Said forms will be thoroughly examined. In the event that any information has been found to be stated with malicious and/or fraudulent intentions, the Claim will be deemed void and rejected. 

 

  1. Dryver Claims Process: 

 

Dryvers are required to submit Claims for major damage that occurs to a Vehicle during the Rental Period through the App or via telephone to Dryve’s customer service center. Major damage is said to occur when the Vehicle is immobile and can no longer complete its Rental Period. Dryvers will be required to file and upload on the app a copy of the police report along with the Claim Form if the damage constitutes as Theft, fire, third-party liability, or is deemed total loss.  

 

In the event of an accident and post the submission of a Claim Form by the Dryver, the Dryver assumes the responsibility of transferring the Vehicle to one of the Owners chosen Approved Repair Centers as stated on the App. 

 

Dryvers must review and make sure that all inputted information is accurate prior to submitting their Claim. Administrative Fees may apply to submitted Claim Forms and are invoiced to the Owner. 

 

  1. Owner Claims Process: 

 

Owners can submit Claim Forms for damages to their Vehicle at Drop-off through the App. Owners are obliged to report any damages made to their Vehicle during the Rental Period at Drop-off by submitting a Claim through the App. Claim Forms are subject to time limits. Any Claim Forms filed after Drop-off or that are incomplete shall be deemed void and rejected by AXA. Administrative Fees may apply to submitted Claim Forms. 

 

Owners must review and make sure that all inputted information is accurate prior to submitting their Claim Form. Said forms will be thoroughly examined.  

 

Owners hereby consent to the forgoing; in the event an accident occurs during the Rental Period and the Dryver submits a Claim, Vehicles will be transferred directly to one of the Owner’s chosen Approved Repair Centers for repair; If Claims are submitted by the Owner during Drop-Off, the Owner assumes the responsibility of transferring the Vehicle to one of his chosen Approved Repair Centers. 

 

In the event that a Vehicle is still under loan through a bank, said bank is referred to as the beneficiary and all cheques will be sent to the bank unless the Owner provides us with an “objection letter” from their bank.  

 

  1. Claims for Theft and Total Loss 

 

Should a Dryver submit a Claim during his/her trip declaring Theft, Owners understand that investigations regarding stolen Vehicles will last up to 6 months. The Insurer will send out a total loss letter pertaining the amount Owners are expected to receive. Owners will need to sign the total loss letter and submit all of the following documents to the Insurer prior to the start of the investigation period: 

  1. The original police report of the investigation from the police station overseeing the area where the Theft occurred; 
  1. Prosecution Report; 
  1. A letter from the security directorate initiating the search for the stolen Vehicle. 

 

Post the investigation period, Owners will need to submit the following documents: 

  1. A letter of the cancellation of the search at the end of the investigation period; 
  1. Transfer of the Vehicle’s ownership to the Insurer; 
  1. Original Vehicle registration; 
  1. Dryver’s driving license; 
  1. Original traffic violations certificate; 
  1. The Vehicle’s spare keys. 

 

Vehicles proclaimed, by the Insurer, to be in a state of total loss will necessitate that their respective Owners sign the total loss letter sent out by the Insurer, remunerate the workshop with the total loss estimation fees and if required parking fees and delegate the Insurer to tow the car to their store. Owners will also need to submit all of the following documents to the Insurer: 

  1. Transfer of the Vehicle’s ownership to the Insurer;  
  1. Original Vehicle registration; 
  1. The original police report; 
  1. The Vehicle’s spare keys; 
  1. Original traffic violations certificate. 

Transferring the Vehicle ownership to the Insurer mandates that the official sale contract, and the official certificate of statements, must be executed in, and directed to the land registry. 

 

PRIVACY POLICY 

 

PLEASE READ THIS POLICY CAREFULLY BEFORE ACCESSING OR USING THE APP OR WEBSITE AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. THE POLICY SHOULD BE READ AND ACCEPTED IN CONJUCTION WITH THE TERMS AND CONDITIONS AND SUPPLEMENTAL TERMS AND CONDITIONS, WHICH TOGETHER CONSTITUTE A SINGLE SET OF TERMS AND CONDITIONS FOR THE USE OF THE DRYVE APP, PLATFORM, OR WEBSITE.

  1. “Claim” refers to a formal request sent by Users and/or Dryve to the Insurer for the Insurance Coverage to take effect for compensation for any Covered loss or damage to a Vehicle; 

 

  1. “Fawry” means Fawry Banking and Payment Technology Services with website address: www.fawry.com. The electronic bill payment and presentment firm conducts Dryve’s e-payment facilitation of all Charges; 

 

  1. “Insurance Coverage” refers to the conditions and exclusions of cover and the type and amount of financial coverage for insured Vehicles as detailed in the Insurance Policy Terms, Vehicles are covered only during the Rental Period. Insurance Coverage is used interchangeably with Coverage;  

 

  1. “Services” refers to your access and use of the Dryve App and all its offered utilities as stated in the Terms & Conditions; 

  

  1. “User” refers to any person who has an active account on the App. This term is used interchangeably to refer to both Dryvers and Owners; 

 

  1. “Vehicle” refers to any Car listed by its Owner, successfully verified by Dryve, and published on the App for Dryvers to rent;  

 

 

Dryve cares about your privacy and is committed to protecting it. We think it is important to inform you about how and where your information is used. This policy outlines how we gather, use, process, manage, disclose, and store your information that is collected through our App and communicated with us or other Users. This Privacy Policy applies to all Users in Egypt who make use of Dryve’s Services. Dryve may be required to change this policy from time to time. Users will be duly notified of such changes.  

 

  1. INFORMATION COLLECTED 

 

We collect your information for the sake of providing a personalized and efficient Service. This information is also used to communicate directly with you. Dryve collects data from Users directly through the App and from Dryvers at our premises. The information gathered can be categorized as follows:  

 

  1. Contact and Personal Information 

 

Users, throughout their registration process provide us with information about themselves. This includes their names, date of birth, address, e-mail addresses, phone numbers, national identification, driving license number, photographs, and other information Dryve might require of applicants from time to time to set up a User account.  

 

User’s data is consensually provided to Dryve. Relevant information cannot be obtained otherwise. The mechanisms of consent are provided in clear language. By accepting the Terms, Users are thereby deemed to have consented to the Privacy Policy. 

 

  1. Payment Information 

 

Additional payment related information may be collect from Users in order to provide you with and accept payment for the Services. This information may be stored with third party payment providers or digital payment companies, like Fawry. You hereby authorize Dryve to access and uses this information in connection with potential or actual transactions. Where we request that you withhold certain identifiable information from us, like obscuring certain digits in your payment card number, please do so. 

 

  1. Trip History 

 

Dryve collects information on published and Booked Vehicles such as the information found in the Dryve Rental Form, reviews and uploaded pictures. Dryve may also use cookie settings to pick up on User usage data. If Users correspond with Dryve via e-mail, Dryve may retain the content of the e-mail. 

 

  1. Social Media 

 

When Users log in or interact with us through various social media pages, Dryve may receive information from the social network regarding your profile information and details. Your privacy settings on the social network determines the data we receive. Users are advised to review their privacy settings on any social network prior to linking with Dryve. 

 

All of the data requested by Dryve is necessary for the performance of its Services. No superfluous or unnecessary information will be requested or collected.  

 

Users must ensure that the data provided by him/her is accurate and current. Dryve bears no responsibility for inaccurate, falsified, or outdated information provided by Users. Users have the discretion to edit, alter, and update the information he/she have provided us.  

 

 

  1. DATA STORAGE AND USAGE 

 

Dryve modifies, uses, shares, stores, and processes User information for the purpose of providing and improving our Services and to better connect with us and other Users. Identifiable information is collected to verify and authenticate information provided on Users and Vehicles. This enables Dryve to ensure a secure and safe experience for all Users alike with minimum risk of fraud, accidents, harm, or illegal activity.  

 

Dryve may modify information provided by Users if we believe that the data is incorrect and/or incomplete. Dryve is not liable for any errors in data modification or any incorrect and/or incomplete User information. It is the User’s sole responsibility to ensure that all his/her data are correct, complete and updated.  

 

Dryve may share User’s personal data with other Users as is necessary for the conducting of its business and the providing of its services.  

 

 Dryve may share User’s personal data with relevant related service provides such as AXA. Dryve may provide AXA any necessary information- including your contact information, Vehicle information and identification, and personal identification- if such information or data is necessary to initiate Insurance Coverage and to proceed with Claims. By agreeing to these Terms and Conditions, Users give Dryve the right to share data with third parties. 

 

Dryve may share Users’ data with vendors, consultants, marketing and advertising partners, and other service providers who need access to such data to carry out work on Dryve’s behalf or to perform any contract we enter into with them. The data may also be shared with third parties in connection with, or during negotiations of, sale of company assets, a merger, consolidation, restructuring, financing, or acquisition of all or a portion of our business by another company. 

 

Dryve reserves the right to share data when requested to do so by a competent authority, should such sharing be necessary in conformity with relevant laws and regulations. This includes sharing data with law enforcement and national security agencies in the interests of public safety, or for an investigation into a breach or crime directly concerning Dryve, e.g. an assault or robbery committed by a User.   

 

Data is stored on the Cloud, subject to the laws of the United States of America. By agreeing to let Dryve collect and store data, Users consent to having said data be subject to the laws of that jurisdiction. Dryve pledges that it shall take all necessary steps, such as encryption, in accordance with the highest standards of technical quality and diligence, to protect the data provided by its Users. 

TERMS AND CONDITIONS 

 

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE ACCESSING OR USING THE APP OR WEBSITE AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. THESE TERMS SHOULD BE READ AND ACCEPTED IN CONJUCTION WITH THE SUPPLEMENTAL TERMS WHICH TOGETHER CONSTITUTE A SINGLE SET OF TERMS AND CONDITIONS FOR THE USE OF THE DRYVE APP, PLATFORM, OR WEBSITE. 

 

  1. KEY TERMS AND DEFINITIONS 

 

  1. The definitions and rules of interpretation in this clause apply to all provisions of the Terms and Conditions and Supplemental Terms (together the “Terms”):  

 

  1. “App” refers to the Dryve application, or Website, which is the medium by which Dryve offers its Services to Users. App may be used interchangeably with Website, site, and/or platform; 

 

  1. “Approved Repair Center” refers to the dealers, sub-dealers, and workshops approved by Dryve and AXA to repair Vehicles that have undergone any loss or damage that constitute as part of the Insurance Coverage; 

 

  1. “AXA” refers to AXA General Insurance Egypt S.A.E with the web address: www.axa-egypt.com. AXA is a subsidiary of AXA Group in France. AXA is interchangeably referred to as the Insurer with reference to the partnership with Dryve as detailed in the Insurance Policy Terms; 

 

  1. “Booking” refers to the arrangement conducted and agreed to by a Dryver and an Owner in relation to the rental of a Vehicle in accordance with the provisions of these Terms and as stated in the Dryve Model Rental Agreement; 

 

  1. “Car” refers to the Cars listed by Owners on the App pending both verification by Dryve and the selection of rental preferences made by the Owner; 

 

  1. Claim Form” means the form sent to AXA detailing the damage and/ or loss done to a Vehicle during the Rental Period. It is completed by either Dryve, the Owner, or the Dryver and can be done by filling out all the required fields on the App; 

 

  1. “Contact Information” means the definition given in Clause B.2. The collection and use of such is as stated in the Privacy Policy; 

 

  1. “Drop-off” refers to the agreed upon date, time, and location whereby both Users meet, diligently inspect the Vehicle, complete the Drop-off Inspection Form, and the Dryver hands back over the Vehicle to the Owner, marking the end of the Rental Period; 

 

  1. “Dryve Agreement” refers to the agreement concluded between Dryve and the Dryver governing the relation between them whereby Dryve approves the registration of the Dryver on the App against the Dryver’s fulfillment of his obligation thereunder; 

 

  1. “Dryve Commission” means, in relation to a Booking, the sum equivalent to Service Fees less the insurance premium; 

 

  1. “Dryve Model Rental Agreement” means the model required to be used by the Owner and the Dryver representing all Booking information as displayed on the App and/or email; 

 

  1. “Dryver” refers to any User who has successfully completed and passed the Dryver Registration Process, as outlined in the Dryver Supplemental Terms, enabling them to rent out Vehicles from Owners; 

 

  1. “Fawry” means Fawry Banking and Payment Technology Services with website address: www.fawry.com. The electronic bill payment and presentment firm currently conducts Dryve’s e-payment facilitation of all Charges; 

 

  1. “Insurance Coverage” refers to the conditions and exclusions of cover, and the type and amount of financial coverage for insured Vehicles as detailed in the Insurance Policy Terms. Vehicles are covered only during the Rental Period. Insurance Coverage is used interchangeably with Coverage;  

 

  1. “Insurance Fee” refers to both the monetary premium payable by the relevant Dryver and the relevant Owner, embedded in the payment of Service Fees, for Insurance Coverage of the relevant Vehicle for the relevant Rental Period, and any Deductibles in the case of an accident and/or Claim;  

 

  1. “Insurance Policy” refers to the policy provided by AXA and arranged through Dryve. The Insurance Policy states the relationship between the Insurer and the Policy Holder as well the Insurance Fees and Claims process. A summary of the Insurance Policy Terms is set out HERE; 

 

  1. “Insurer” refers to AXA with reference to the partnership with Dryve as detailed in the Insurance Policy Terms; 

 

  1. “Market Value” means the market value of Vehicles on Dryve calculated at the time of publishing using an integrated Contact Cars API. The Market Value is determined by the Vehicle’s make, model, year, and mileage, and is determined using its average price on the Contact Cars website over 6 months prior to the listing date; 

 

  1. “Other Additional Charges” refers to any other Charges incurred throughout the Rental Period other than Rental Charges. This includes Penalties and Administrative Fees. This may either increase the total cost required from the Dryver and / or reduce the total amounts due to Owner; 

 

  1. “Owner” refers to any applicant who has filled in all mandatory fields in the Owner’s registration form on the App and has successfully listed a verified Vehicle as detailed in the Owner Supplemental Terms; 

 

  1. “Pick-up” refers to the agreed upon date, time, and location whereby both Users meet, diligently inspect the Vehicle, complete the Pick-up Inspection Form, and the Owner hands over the Vehicle to the Dryver, marking the beginning of the Rental Period; 

 

  1. “Policy Holder” refers to Dryve with reference to its role in the Insurance Policy provided by AXA as detailed in the Insurance Policy Terms; 

 

  1. “Rental Agreement” refers to the agreement to be concluded between the Owner and the Dryver, at the time of Pick-up in the form as provided by Dryve and available for printing and use on the App, to govern the rental of the Owner’s Vehicle to the Dryver; 

 

  1. “Rental Charges” refers to the charges payable by a Dryver to the relevant Owner for the use of his/her Vehicle during an agreed upon Rental Period. Rental Charge is the addition of the Daily Rate set by Owners, within a range, and the Maintenance Fee; 

 

  1. Rental Period” means the period whereby the Owner’s Vehicle is in the Dryver’s possession while he is on a Booking. The period starts from Pick-Up and ends at Drop-Off, or in the event of an Accident when the Dryver has successfully delivered the Vehicle to an Approved Service Center for repair; 

 

  1. “Services” refers to your access and use of the Dryve App and all its offered utilities as stated in Clause B.3; 

 

  1. “Service Fees” is a variable percentage fee, depending on the Vehicle category, retained by Dryve. Service Fees are inclusive of insurance premiums, Dryve Commission, and address a number of other costs including customer service. Service Fees apply to Late Fee Penalties and Excess Mileage Penalties. See Exhibit B in the Supplemental Terms for a complete breakdown; 

 

  1. “Total Charges” means the definition given in Clause B.6; 

 

  1. “User” refers to any person who has an active account on the App. This term is used to refer to either Dryvers or Owners; 

 

  1. “VAT” means Value Added Tax and is calculated as 14% of Dryve Commission and is deducted from both Owners and Dryvers on a pro-rate basis on behalf of tax authorities.   

 

  1. “Vehicle” refers to any Car listed by its Owner, successfully verified by Dryve, and published on the App for Dryvers to rent;  

 

  1. “Website” means the site or website at www.getdryve.com, www.letsdryve.com and www.dryve.ae as amended and updated from time to time. 

 

  1. Where the expression “including” is used, this is to be construed as being immediately followed by the expression “without limitation”.  

 

  1. Definitions include the singular/plural term.  

 

 

  1. RELATIONSHIP 

 

The Terms are the terms of use that govern your access and use of the App as made available by Dryve Holdings Limited BVI, Dryve Egypt LLC and, or any of their affiliates (“Dryve”, “we”, “us”, or “our”) either through the downloading of the App or the accessing of the Website. Users accessing the App shall be subject to specific provisions under the Supplemental Terms governing their relationship with Dryve and/or respectively a Dryver or Owner, depending on their status at the time.  

 

Your access to and use of the Services, and/or acceptance of our Terms shall constitute your agreement to be bound thereby. Such acceptance shall constitute your conclusion of a service agreement with Dryve. Supplemental Terms shall apply and will be disclosed to you in connection with the applicable Services. Supplemental Terms complement and form a part of the Terms for the purposes of the applicable Services. Supplemental Terms shall prevail in the event of a conflict with respect to the applicable Services. If you do not agree with our Terms, you should stop using our App or Website immediately.  

 

All of the provisions in the Terms, together with Supplemental Terms, Insurance Policy Terms, Privacy Policy, and any other incorporated agreements constitute the terms of the agreement between you and Dryve. 

 

Dryve may amend the Terms related to the Services from time to time. Amendments will be effective immediately upon Dryve’s posting of such updated Terms or Supplemental Terms either through the App, Website or by email. Your uninterrupted access or use of the Services after such posting shall be deemed an implicit consent on your side to be bound by the Terms and/or Supplemental Terms, as amended. 

 

  1. DATA PRIVACY 

 

You understand that by accessing and using our Services that you are consenting to the collection and use of your personally identifiable information. The collection and use of such information in connection with the Service is as provided in Dryve’s Privacy Policy 

 

  1. REGISTRATION 

 

Individuals wishing to access the App and use the Services to list their Cars or make Bookings must first register as a User. Registering as a User includes signing up for an account using a functional, accessible email address, and a working, accessible mobile number (“Contact Information”.) Dryve Rental Forms, invoices, notifications, and other important information will be sent to Users’ registered email addresses. Verification codes, Fawry one-time passwords (“OTP”), any other important information will be sent to Users via SMS to their registered mobile number.  

 

By registering using their respective Contact Information, Users hereby validate that such Contact Information, is functional, accessible and belongs to them. Dryve will not be held responsible for your failure to access or regularly check emails, SMSs and notifications sent to you. Users are entirely liable over the privacy as well as the ability and frequency to access their emails and mobile phone numbers. 

 

Users may register as a Dryver and/or as an Owner under the Supplemental Terms relevant to each.  You may have only a maximum of one Dryver account and one Owner account as active and valid and only one account per unique Contact Information. 

 

Dryve will require that Users submit personal and identifiable information about themselves and their Cars to further verify User accounts and their respective Cars. The collection and use of such is as stated in Dryve’s Privacy Policy. Dryve may, during the registration process, conduct searches on Users and their Cars in order to corroborate the information submitted. Dryve reserves the right to reject any attempt to register as a User in the event that Dryve has reasonable belief that the applicant does not comply with the stated Terms and Supplemental Terms.  

 

  1. SERVICES 

 

Dryve offers a technological platform that enables Users of the App to list and rent Vehicles directly with one another subject to these Terms. Dryve is not a rental car company. We do not own Vehicles nor are we in the business of renting Vehicles to the public. Dryve does not sell, hire, manage, and/or control the Vehicles. We do not offer transport or travel services, nor do we provide insurance services. Unless otherwise explicitly specified, Dryve’s responsibilities are limited to: (i) Enabling and governing the availability of the App and Services; (ii) facilitating the listing and Booking of Vehicles (iii) serving as the limited payment collection agent by accepting payments from Dryvers on behalf of Owners; and (iv) arranging for Insurance Coverage, through AXA, for Vehicles rented out via the App. 

 

  1. INSURANCE 

 

Dryve is neither an insurance company nor an insurance broker and shall not be held liable for any cases of breach of trust, damages or theft of the Booked Vehicle. Dryve does not directly or indirectly insure Vehicles rented through the App. Dryve is named a Policy Holder on the Insurance Policy and is not a direct Insurer. If you receive protection under this policy, your Coverage is provided by Dryve’s insurance partner, AXA. Dryve only acts as an intermediary offering such insurance products to its Users. 

 

Dryve has arranged for comprehensive insurance from AXA to cover Vehicles during the Rental Period. Insurance Coverage will initiate at Pick-up and cease at Drop-off.  Insurance is obligatory and an integral part of Dryve’s process and operations. Only Booked Vehicles will receive Insurance Coverage. Insurance covers Vehicles with manufacturing dates that do not exceed 18 years. In case of a successful Claim, Vehicles are required to be repaired at an Approved Repair Center. The Insurer shall cover certain risks as detailed in the Insurance Policy Terms. 

 

  1. SCOPE OF APP USAGE 

 

Dryve hereby grants Users a non-exclusive, non-transferrable and revocable right and license, subject to Dryve’s Terms and Supplemental Terms, to: (i) access and use the App and its Services through creating a personal account approved by Dryve; (ii) request the listing of Cars; (iii) request the rental of a Vehicle; (v) provide and/or receive payment for the Booking and any Other Additional Charges. 

 

Dryve retains the ownership of the App and Website and all content included therein. Your use of the App and Website is limited to the license granted above.  

 

In connection to your use of or access to the Services, you hereby agree that you will comply with all applicable laws and these Terms and Supplemental Terms. You agree that you will not attempt, nor advocate, encourage, or assist any third party to: 

 

  1. Violate any Law 

You agree that you will not (i) breach any local, provincial/territorial, or national Law; (ii) use the App and its content in any form for illegal purposes or in an illegal manner (iii) Post false and/or defamatory content; (iv) use the App in a commercial manner by publishing or transmitting its content; (v) remove or attempt to use any of Dryve’s trademarks, copyrights, propriety rights, or any other intellectual property rights, registered or unregistered; (vi) distribute, sell, sublicense or transfer any of the rights granted under the Terms; and (vii) attempt to gain unauthorized access to the App, Website, software, servers or any other networks connected to the App and Website. 

 

  1. Register False Information 

This includes (i) submitting false information including but not limited to your name, national ID, date of birth, driver’s license, Vehicle’s license, or other personal information; (ii) submitting false Claim Forms; (iii) impersonating any person or entity; (iv) publishing Vehicle availability information that you do not intend to honor; and (v) assigning or transferring your account to any other User, person, or entity. 

 

  1. Fail to Honor Your Commitments 

This includes (i) failure to meet payments; (ii) failure to follow through with User procedures and guidelines of a Booking as outlined in the Supplemental Terms; and (iii) use of the Services provided by Dryve to find an Owner or a Dryver, and then complete the Booking and transaction wholly or partially independent of Dryve in order to bypass paying Service Fees or for any other reason; (iv) failure to return the Vehicle to the Owner as per the terms and conditions of the Rental Agreement; and (v) breach of your obligations under the Dryve Agreement 

 

  1. Harm Other Users 

You agree not to (i) use other User information to harass or stalk; (ii) engage in abusive or threatening conduct- physical or verbal; and (iii) distribute or post any information regarding other Users without their permission. 

 

  1. Impair operations: 

You agree to not (i) impair operations of the App or other Dryve software or servers and the networks connecting it; (ii) distribute unsolicited or bulk electronic communication like spam messages; (iii) distribute viruses or other harmful codes; (iv) methodically retrieve data or other content from our Services to create a collection or database; (v) remove, deactivate, or tamper with technological measure set forth by Dryve to protect the Services; and (vi) reverse engineer any of the software used to provide Services. 

 

You may not authorize a third-party to use your account. You hereby acknowledge responsibility for your account and any activities or transactions under your account and you agree to maintain the secrecy of your information on the account including your username and password for its access. You understand and acknowledge that in the event of allowing other individuals to use your credentials to make Bookings, or list Cars on the App or Website, you will be held solely liable for any damages or liabilities arising out of such use caused to yourselves, other Users or Dryve without prejudice to their right to invoke legal action or proceedings against you and the other User to the full extent permissible under Egyptian law. Further, you agree to comply with all applicable laws when using the Services and may only use the Services for lawful purposes. 

 

  1. PRICING AND PAYMENT ADMINISTRATION 

 

Dryve has five Vehicle categories; “dryve Y”, “dryve Direct”, “dryve Red”, “dryve Black”, and “dryve io. The Market Value of a Vehicle will determine which category the Vehicle falls under and in turn what the Vehicle’s Rental Charge range is. Owners will have the ability to set and revise, within said range, the Rental Charges they determine for their Vehicle. Vehicles are subject to movement between Dryve categories depending on the likely decrease their Vehicle’s Market Value over time. This too will modify the Vehicles Rental Charges and Service Fees. 

 

You agree and understand that your use of the Services provided via the App or Website may result in Rental Charges for the Vehicles provided, Insurance Fees for the Coverage of any damage that may occur during the Rental Period, Service Fees, and any Other Additional Charges, (together Total Charges”). Dryve shall be responsible for facilitating the payment of the Rental Charges and any applicable Penalties, net of the Service Fees, from the Dryver to the designated Owner, and responsible for facilitating the payment of Insurance Fees from Users to AXA.  

 

Dryve shall act as an intermediary and facilitate payment from the Dryver to the designated Owner under the Dryve Rental Form. Dryve’s liability to pay amounts to the Owner shall be limited to amounts paid by the Dryver and received by Dryve through Fawry or any of the other the payment systems made available on the App.  

 

Payments to Dryve shall be deemed a direct payment from a Dryver to an Owner in relation to an agreed Booking, net of Service Fees and other Charges. These Charges shall be inclusive of any applicable taxes where required by law and deemed as a final and non-refundable payment, unless otherwise determined by Dryve or required by Consumer Protection Laws. Users shall receive a confirmation notification with an invoice of all payments made via email and on the App. 

 

Dryve may collect User information to process payments through Fawry or any of our payment service providers via a secured network. The collection and use of such information is as outline in Dryve’s Privacy Policy. User payment methods, channels, and timelines are outlined in their respective Supplemental Terms. Any refunds will be processed through the original mode of payment. Payment must be made through the payment channels made available by Dryve. Any offer to pay through any channel other than those provided by Dryve will be considered a breach of the Terms and Supplemental Terms and may result in the suspension or deletion of the User’s account. 

 

  1. TERMINATION 

 

You may terminate your Dryve account by submitting such termination request by email or in writing to Dryve. 

 

You agree that Dryve may, without prior notice, immediately terminate, limit your access to or suspend your Dryve account for reasons including but not limited to: (a) breach or violation of the Terms and/or Supplemental Terms, Privacy Policy, or other incorporated agreements, and (b) engagement by you in fraudulent or illegal activities; and/or nonpayment of any fees owed to Dryve and/or Owners.  

 

Termination of your Dryve account shall be at Dryve’s sole discretion and shall include ceasing to offer Services or any portion thereof, denying you access to your account, and the deletion thereof.  

 

  1. LIMITATION OF LIABILITY 

 

IN NO EVENT SHALL DRYVE, ITS EMPLOYEES, DIRECTORS, AGENTS, AFFILIATES, OR REPRESENTATIVES BE HELD LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OR ANY OTHER EVENT TO THE EXTENT PERMITTED UNDER EGYPTIAN LAW ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR APP OR SERVICES.   

 

You hereby agree that the use of the Services, specifically the renting of or the rental of Vehicles, may carry inherent risk, and by accessing and requesting the Services through our App, you choose to assume those risks voluntarily. Those risks include, but are not limited to, bodily injury, loss or damage to Vehicles or property, or penalties and sanctions accrued due to driving conduct and breach of the applicable driving rules and Egyptian laws. Notwithstanding Insurance Coverage, the Dryver assumes full responsibility for any damage, direct or indirect, arising out of his use of the Services, specifically rental, and use of the designated Vehicle. Further, you declare and acknowledge your full responsibility of any damage or losses arising out of your use of the Services and that you shall be solely held accountable for all responsibilities, liabilities, or claims resulting from the use of the App and Services during the Rental Period.  

 

Dryve’s established liability in any dispute may not exceed EGP 100,000 (One Hundred Thousand Egyptian Pounds only). 

 

  1. INDEMNITY 

 

Dryve acts as a facilitator and does not act as an agent on your behalf. You further accept that Dryve has no control over and cannot guarantee accidental damage to property or loss of income due to negligence, foreseen, unforeseen, or extraordinary circumstances on part of either User. 

 

You hereby agree to release and hold Dryve and its affiliates, directors, employees, agents and representatives harmless from and against any third-party claims, liabilities or losses arising out of your use of the App or Services and from any costs or expenses arising directly or indirectly, in whole or part out of your access and use of the App and the use of the Services, specifically rental of Vehicles. You agree to indemnify Dryve and its affiliates, directors, employees, agents and representatives in full and on demand for any losses, damages, costs, or expenses, which they suffer or incur directly or indirectly as a result of your use of the App and the Services. Dryve shall use its best efforts to make sure that Owners, Dryvers and Vehicles fulfill certain requirements, set at the discretion of Dryve, before they become part of the network, and that they are selected based on criteria that would facilitate making an informed decision about potential Bookings. 

 

  1. SEVERABILITY 

 

In case any part of the Terms is deemed invalid, null or unenforceable, in whole or in part, for any reason, all remaining parts shall continue in force and effect. These Terms constitute the entire agreement and understanding of the parties (Dryve, the Dryver, and the Owner) with respect to its subject matter and replaces and supersedes all prior or simultaneous agreements or undertakings regarding such subject matter. 

 

  1. GOVERNING LAW AND DISPUTE RESOLUTION 

 

These Terms and Supplemental Terms shall be exclusively governed and construed in accordance with the provisions of the laws of the Arab Republic of Egypt.  Any dispute, controversy or claim arising out of or relating thereto, the interpretation, existence, validity, the termination, rescindment or invalidity thereof, shall be settled by the competent Court in Egypt.  

 

You hereby acknowledge and agree that you have read and understood these Terms and Supplemental Terms and accept them in full.
