OWNERS’ SUPPLEMENTAL TERMS

 

PLEASE READ AND ACCEPT THESE SUPPLEMENTAL TERMS OF SERVICE CAREFULLY PRIOR TO REGISTERING AS AN OWNER AND ACCESSING OR USING THE APP OR WEBSITE AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. THESE SUPPLEMENTAL TERMS SHOULD BE READ AND ACCEPTED IN CONJUNCTION WITH THE TERMS AND CONDITIONS AND TOGETHER CONSTITUTE A SINGLE SET OF TERMS AND CONDITIONS FOR THE USE OF THE DRYVE APP, PLATFORM, OR WEBSITE.

 
NOTE ALL OBLIGATIONS CONCERNING THE CONDITION OF VEHICLES PRIOR, DURING, AND POST THE RENTAL PERIOD, INSURANCE LIABILITIES, AND PENALTIES.

 

  1. KEY TERMS AND DEFINITIONS

 

  1. The definitions and rules of interpretation in this clause apply to all provisions of the Owners’ Supplemental Terms. All other terms are defined in the Terms and Conditions:

 

  1. “Administrative Fee” is a fee charged by Dryve to cover expenses incurred as a result of administering and processing Penalties, Renter Disputes, and Claim Forms;

 

  1. “Covered Loss” means the amount covered by the Insurance Policy in the case of a successful Claim, less any Deductibles, and in the case of partial or total loss as determined by the provisions set in Clause C based on the accepted Sum Insured;

 

  1. “Drop-off Inspection Form” refers to the form with compulsory fields on the App required to be filled at Drop-off for the Rental Period to officially end. The Drop-off Inspection Form entails the recording of fuel and mileage levels, uploading clear pictures of the Vehicle, as well as pictures of any damages in the case of a Claim;

 

  1. “Renter Dispute” refers to the disagreement submitted by the Renter to any of the following information entered on the Drop-off Inspection Form: (i) fuel levels; (ii) excess mileage; and (iii) damage;

 

  1. “End Date” is the date mentioned in the Rental Agreement as the “End Date” for the term of the Rental Agreement and is separate from the Drop-off date;

 

  1. “Maintenance Fee” means the daily sum paid, accounting for the Vehicle’s service and maintenance. Maintenance Fees are calculated by Dryve based on the Vehicle’s category and are a component of Rental Charges;

 

  1. “Nactia” refers to Nactia Auto Care with the website: autocare.nacita.com. Nactia Inspections are highly recommended and may be obligatory for some Cars;

 

  1. “Pick-up Inspection Form” refers to the form with compulsory fields on the App required to be filled at Pick-up for the Rental Period to officially begin. The Pick-up Inspection Form entails recording of fuel and mileage levels, uploading clear pictures of the Vehicle, and pictures of any pre-existing damages;

 

  1. “Personal Insurance Fee” refers to the monetary amount paid by the Renter to the Owner in the case of an accident during a Dryve Trip, the amount is limited to the total deductible paid by the Owner, subject to the submission of evidence and confirmation of the amount by Dryve with a maximum liability to the renter of EGP 10,000;

 

  1. “Release Form” refers to the form which makes up part of the Rental Agreement required to be filled and signed by the Owner upon the receipt of his Vehicle, marking the termination of the Rental Agreement and the discharge of Renter of his obligations under the Rental Agreement;

 

  1. “Start Date” is the date mentioned in the Rental Agreement as the “Start Date” for the term of the Rental Agreement and is concomitant with the Pick-up date;

 

  1. “Sum Insured” means the definition given in Clause C;

 

  1. “Theft” refers only to theft by third parties and excludes breach of trust by Renter and/or Owner;

 

  1. “Vehicle Conditions” means the definition given in Clause C.1;

 

  1. “Vehicle Exclusions” means the definition given in Clause C.2;

 

 

  1. Where the expression “including” is used, this is to be constructed as being immediately

followed by the expression “without limitation.

 

  • Definitions include the singular/plural term.

 

 

  1. OWNER REGISTRATION PROCESS AND CAR VERIFICATION

 

  1. Owner Registration and Vehicle Listing

 

Registering as an Owner through the App requires that applicants have a Car, and functional and accessible Contact Information. Applicants should provide the following information and documents in order to successfully register as an Owner:

 

  1. Valid national ID;
  2. Valid Car license;
  3. Details on the Car’s specifications, features and location;
  4. Clear, genuine pictures of the Car;
  5. Any other documents Dryve may require for activating and verifying an Owner account or the listing of a Car.

 

The collection and use of such information is as provided in Dryve’s Privacy Policy. You hereby undertake to provide true, accurate, complete information and that you will be responsible for ensuring that the information and Contact Information is up-to-date at all times.

 

Cars listed by Owners will need to go through Dryve’s verification process. Once a Vehicle is verified, it will be automatically published with the settings either chosen when listing or automatic default settings. Owners can modify the Vehicle’s availability, rental preferences and Daily Rate from the Vehicle’s profile on the App.

 

Dryve has six Vehicle categories; “dryve Y”, “dryve Direct”, “dryve Red”, “dryve Silver”, “dryve Black”, and “dryve io”. A Vehicle’s Market Value at the time of listing will determine which category it falls in and in turn the Vehicle’s Daily Rate range, daily Maintenance Fee, and Service Fees. Owners will be able to determine their preferred Daily Rate within their Vehicle’s respective range.

Post publish, Vehicles are subject to movement between Dryve categories depending on the likely decrease in Market Value over time. This in turn will also change the Vehicles Daily Rate range, Maintenance Fee, and Service Fees.

Dryve reserves the right to unpublish a Vehicle for reasonable cause such as prolonged inactivity. Vehicles that do not respond to 3 consecutive Bookings will be automatically unpublished.

Owners will be notified when their Cars have been rejected. In the event that any information stated has been found to carry error, Dryve will notify the Owner and ask that they amend said information for their Car to be approved. If any information entered has been stated with malicious or fraudulent intent, Dryve reserves the right to delist the Car, and suspend and penalize the Owner.

 

Certain Cars will be required to undertake Nacita inspections. Nacita inspections are highly recommended. Owners who inspect their Cars at Nacita increase the likelihood of it being Booked by Renters. Users undertake to upload the Car’s report results directly on the App, said Car’s profile will be immediately updated to reflect the Nacita inspection results. Other Vehicles may have the option of skipping Nacita inspections and having the Vehicle’s first Renter carry out the inspection on their behalf. Inspection costs will be fully borne by the Owner and will be deducted from the Booking’s Rental Charges. Administrative Fees will apply if the Renter carries out this step for you.

 

You acknowledge responsibility for your account and any activities or transactions on your account. You agree to maintain the secrecy of your information on your account including your username and password for its access.

 

You understand and acknowledge that you may not allow other individuals to use your credentials to list Cars on the App, accept Bookings or in any way deal with other Users on the App, and that you shall be held liable for any damages arising out of such use caused to Renters, Dryve or other affected parties without prejudice to their right to invoke legal action or proceedings against you to the full extent permissible under Egyptian law.

 

  1. INSURANCE

 

Under the Dryve app, Car Owners can either opt for Insurance Coverage provided by Allianz or Personal Insurance Coverage.

 

For Car Owners with Vehicles listed under the Insurance Policy, Dryve has arranged for comprehensive insurance from Allianz to cover Vehicles during the Rental Period. Insurance Coverage will initiate at Pick-up and cease at Drop-off. Insurance Coverage is optional for Users of the Dryve App. Insurance covers Vehicles with manufacturing dates that do not exceed 10 years. In case of a successful Claim, Vehicles are required to be repaired at an Approved Repair Center.

 

To the best of Dryve’s knowledge, all published Vehicles under Personal Insurance are insured by an insurance provider, independent from Dryve, and the Insurance Policy, Covering Vehicles during Dryve Trips. By opting for Personal Insurance Coverage and accepting these terms, Owners guarantee that published Vehicles on the Platform possess fully comprehensive insurance that covers Users throughout a Dryve Trip and that any Accidents that occur during a Dryve Trip will be covered as per the Owner’s Personal Insurance policy. UNDER PERSONAL INSURANCE, OWNERS ACKNOWLEDGE THAT ALL RISKS, DAMAGES, AND LOSSES THAT ARISE DURING A DRYVE TRIP ARE BORNE BY THE OWNER AND/OR THEIR RESPECTIVE INSURANCE PROVIDER. Owners with Vehicles under Personal Insurance Coverage will be entitled to a Personal Insurance Fee in the case of an accident, this amounts to a minimum of either the deductibles paid by the Owner regarding the accident or EGP 10,000. The Personal Insurance Fee is payable by the Renter to the Owner through Dryve.

 

Vehicles fall under two insurance premium tiers, a Vehicle’s make and model will determine the Premium bracket payable by both Users. Premium will be deducted from both the Renter and the Owner as part of the Service Fee.

 

Dryve, in accordance with Allianz, reserves the right to change premium rates and surpluses over time.

 

In the event of a total or partial loss Claim, loss adjusters sent by Allianz will determine the value of the Vehicle as of the date of the accident and reserve the right to determine whether a Vehicle is in a state of total or partial loss at their sole discretion.

A Vehicle is considered a total loss/ write-off if it costs more than 50% of its independently assessed market value to repair. In said event of total loss, Insurance Coverage extends to 100% of the current Market Value of the Vehicle (“Sum Insured”).

Owners hereby acknowledge that they understand and agree that the Sum Insured shall be the basis for the calculation of the Coverage amount under the Insurance Policy and is subject to change as determined by the loss adjuster.

Vehicles must be repaired at an Approved Repair Center. If the Vehicle is repaired at a repair center not on the list of Approved Repair Centers, it is considered outside of Coverage and Allianz will no longer be held liable to provided Insurance Coverage.

 

Authorized dealers are clearly labelled on the App along with the Approved Repair Center’s billing type. Owners will be notified should their Vehicle no longer satisfy the chosen Approved Repair Center age limit and may be required to update their chosen Approved Repair Centers to fit the criteria.

If a Vehicle is repaired at an Approved Repair Center that falls within the Allianz direct network (labelled as "Direct Billing" centers on the App), Owners will only be required to pay the Deductible when collecting their Vehicle from the Repair Center. Owners will receive reimbursement for the Deductible which is payable by Renter through Dryve.

Vehicles over their tenth manufacture year are limited to non-agency repair.

If a Vehicle is repaired at an Approved Repair Center that is not within the Allianz direct network (labelled as "Pay and Reimburse" centers on the App), Owners will be required to pay the total repair cost, which includes the Deductible, when collecting their Vehicle from the Repair Center.

Owners will receive reimbursement for the Deductible, which is payable by the Renter through Dryve, and reimbursement for the remaining repair cost from Allianz. Owners will be required to send the repair cost invoice when requesting for any reimbursement.

Dryve reserves the right to share User and Vehicle identifiable information with Allianz for the sake of providing Insurance Coverage and investigating Claim Forms. The collection and use of such information are as provided in Dryve’s Privacy Policy.

 

Insurance Coverage as stated in the Insurance Policy is governed in accordance to Egyptian Law. Any disputes that arise under or in connection of said Coverage or Policy shall both be subject to and handled by Egyptian Courts.

 

  1. Vehicle Conditions

Owners must make sure that their Vehicles adhere to certain requirements and conditions to make them eligible for Insurance Coverage. Should Vehicles not meet the stated Vehicle Conditions and/or the damage/loss to the booked Vehicle has been stated in the Vehicle Exclusions, Allianz is no longer liable to provide Insurance Coverage. Owners are then considered fully liable for the repair of a damaged Vehicle and should accept any charges and/or Penalties that arise.

  1. All Vehicles must have a valid Egyptian car license in accordance with all traffic act and other laws and regulations. Car Licenses cannot expire during the Rental Period;
  2. Owners must properly inspect and photograph the Vehicle clearly at Drop-Off indicating any apparent loss or damage that has occurred to their Vehicle during the Rental Period;

 

  1. Vehicle Exclusions

 

Booked Vehicles will not be covered by the Insurer, and the Owner will be fully liable in the event that the damage or loss occurred surrounds the below exclusions:

 

  1. Any personal belongings that are in the Vehicle at the time of the accident;
  2. Minor scratches and abrasions to the Vehicle;
  3. Any existing damage to the Vehicle prior to Pick-up of the Vehicle;
  4. Terrorist attacks;
  5. Revolutions, rebellions, and military coups.

 

  1. Deductibles

 

Should the Vehicles meet the Vehicle Conditions and the damage or loss does not surround the Vehicle Exclusions, Renters will be deemed liable for Deductibles that would be required in the event of a successful Claim due to damage or loss to the Vehicle during the Rental Period.

Deductibles are the maximum of EGP 10,000 or 10% of the total repair cost, in addition to all Special Terms, and are subject to changes from time to time at Dryve’s and Allianz’s discretion.

Owners may be required to pay the Deductible when receiving their Vehicle from the Approved Repair Center and will later receive reimbursement for it from the Renters through Dryve.

Owners with Vehicles under Personal Insurance Coverage will be entitled to a Personal Insurance Fee in the case of an accident, this amounts to a maximum of either EGP 10,000 or 10% of the Repair Amount. The Personal Insurance Fee is payable by the Renter to the Owner through Dryve.

 

  1. Special Terms

 

The following is a list of special terms surrounding Insurance Coverage concerning the Owner as set by the Insurer in the Insurance Policy with regards to Vehicle repairs.

  1. Depending on the time elapsed/Vehicle’s age from its manufacturing year, Owners are subjected to the following additional fees, reference Exhibit B, should repairs be conducted at an agency or require original parts:

  1. Bodywork repairs for rust, corrosion, and/or sandblasted windshields will require Owners to bear 50% of the cost to repair.

 

  1. Misuse Policy

 

Owner will be considered fully liable for any loss or damages and should accept any legal and/or financial charges and/or Penalties that may arise as a result of existing mechanical damages to the Vehicle prior to Pick-up of the Vehicle that lead to an accident during the rental period; deemed by a loss adjusters sent by Allianz.

  1. Claims Process

 

Renters and Owners must take and upload clear distinct and unobstructed pictures at Pick-Up and Drop-Off for the Insurance Coverage and any respective Claim to be deemed valid.

To ensure their Vehicle’s Coverage, Owners are obliged to report any and all loss and/or damage made to their Vehicle during the Rental Period, at Drop-off by submitting a Claim through the App. Any Claim Forms submitted after Drop-off or that are incomplete shall be deemed void and rejected by Allianz. Administrative Fees may apply to submitted Claim Forms.

Owners must review and make sure that all inputted information is accurate prior to submitting their Claim Form. Claim forms will be thoroughly examined. In the event that any information has been found to be stated with or without malicious and fraudulent intentions, the Claim will be deemed void and rejected.

By accepting these Terms and Supplemental Terms you hereby consent to the forgoing; in the event an accident occurs to your Vehicle during the Rental Period and the Renter submits a Claim, your Vehicle will be transferred directly to one of your chosen Approved Repair Centers for repair.

In the case an accident was reported, the Insurance Claim is approved by Allianz, and the Renter has paid all relevant Deductibles, the Owner must return all legal documents signed by the Renter at the time of Pick-up, except their own copy of the Rental Agreement. Failure to comply by the Owner to this requirement will result in non-reimbursement and/or nonpayment of any Deductibles due by the Renter. Release of any outstanding amounts will only occur upon confirmation by the Renter of their receipt of the legal documents previously signed thereby during the Pick-up, including one copy of the Rental Agreement with the Release Form signed and completed.

 

Further, failure to return the signed legal documents shall be deemed a breach of the Terms that shall incur a penalty of EGP EGP 50,000 (Fifty Thousand Egyptian Pounds) on the Owner and could also result in account suspension or de-registration.

In the event that Claims are submitted by the Owner during Drop-Off, the Owner assumes responsibility in transferring the Vehicle to one of his chosen Approved Repair Centers.

Loss adjusters, at their sole discretion, will determine whether a Vehicle is considered to be in a state of total loss. In the event of total loss or Theft, the Insurer will send out a total loss letter that will require the Owner’s signature. Owners will need to submit all required documents and in the event of a successful Claim, Owners will be required to transfer ownership to the Insurer prior to receiving a cheque for the sum insured of the Vehicle. See Insurance Policy Terms for a complete breakdown of the documents required by the Insurer in the event of total loss or Theft.

In the event that a Vehicle is still under loan through a bank, said bank is referred to as the beneficiary and any and/or all cheques will be sent to them unless the Owner provides an “objection letter” from their bank.

 

  1. RENTING VEHICLES

 

  1. Booking a Vehicle

 

Owners will have access to the profile of Renters that send them requests for their published Vehicle on the App. This profile will include the Renter’s personal information, Booking history, and their Dryve profile details, including previous ratings and reviews. The Renter’s Contact Information will only be accessible to Owners after successful payment.

 

Renters will be notified when an Owner rejects or does not accept their Booking requests in the required time frame. When an Owner accepts a Booking Request, the Renter is notified on the App and by email and will be required to pay the full amount of applicable Rental Charges within the stated time-limit on the App from the Owner’s response. The Booking request is confirmed once the payment has been successfully made and the Owner has received confirmation on the App or by email. Only after payment is complete will Renter be able to contact Owners to request additional information regarding the exact Pick-up time and location.

 

Once payment for the Booking has been made by the Renter , the Owner shall be committed to the Booking and must provide the Vehicle for rental to the Renter for the agreed upon Rental Period.

 

To cancel a Booking request, Owners must contact Dryve directly and must be aware that they will be charged a Cancellation fee as stated in Exhibit B. This fee will be deducted from the Owner’s credit balance or from future Bookings.

 

  1. Pick-Up

 

It is the sole responsibility of the Owner to ensure, at the time of the hand-over of the Vehicle to the designated Renter , that the Vehicle meets all Vehicle Conditions and is safe to drive.

 

Upon successful inspection by the Renter of the Vehicle, both parties should sign the legal documents, including copies of the Rental Agreement, as provided by Dryve, two of which shall remain in the possession of the Owner for the duration of the trip.

 

Before signing, both parties should fill in the provided Rental Agreement with all the details about the Owner, the Renter , the Vehicle, and the Start and End Dates and times correctly filled out, and sign thereon. The Drop-off date and time fields in the Rental Agreement and the Release Form should not be filled out or signed until the actual Drop-off Date or in the event of an accident where the Renter drops-off the Vehicle at one of the Approved Repair Centers. All times on the Rental Agreement should be diligently recorded.

 

Pick-up is deemed successful in the event the following conditions are met:

 

  1. The Owner has reviewed the Renter’s driving license. The Owner must refuse delivery of the Vehicle if the person wishing to take possession of the Vehicle is unidentifiable or is not the Renter as stated in the Dryve Rental Form;

 

  1. The Rental Period begins when both the Owner and the Renter agree on the condition of the Vehicle, sign the filled-out Rental Agreement and the legal documents provided on the App., complete the Pick-up Inspection Form on the App, and the Vehicle keys are handed over by the Owner to the Renter .

 

Once Pick-up is complete, the Owner will receive a notification that his earnings have been transferred to him/her and are ready for collection at any Fawry or Accept outlet, or any other predetermined, available payment method and channel.

 

  1. During the Rental Period

 

Both Users will be able to contact each other during the Rental Period.

 

Renters that exceed the stated average mileage of 250 km per day are subject an excess mileage fee for every extra km consumed payable to the Owner by the Renter through Dryve, as stated in Clause E.

 

  1. Drop-Off

 

At the end of the Rental Period and upon the return of the Vehicle, the Owner shall check the condition of the Vehicle, take and upload clear pictures of the Vehicle, and complete the Drop-off Inspection Form.

At the time of Drop-off and prior to filling the Inspection Form, the Owner shall fill out the Drop-off Date and time fields on the Rental Agreement, complete and sign the Release Form and shall then give back to the Renter all such legal documents that were signed at the time of Pick-up, keeping one copy of the Rental Agreement with him.

Failure to sign the Release Form by the Owner after receiving his car from the Renter will incur a penalty of EGP 50,000 (Fifty Thousand Egyptian Pounds).

The Owner undertakes the obligation to report to Dryve at Drop-off any damages that may have occurred to the Vehicle during the Rental Period.  In this event, Owners are required to fill in all the required fields on the App and upload clear, distinct unobstructed pictures of the damages.

Renters are required to return the Vehicle with the same fuel level as recorded at Pick-up. Failure to comply with such requirements will constitute a Penalty payable to the Owner by the Renter through Dryve.

The Owner shall be solely responsible to inquire about any sanctions, traffic fines or penalties imposed on the Vehicle, during the Rental Period and report to Dryve any charges incurred within a maximum period of 90 days from the respective Drop-off date. The respective Renter will be fully liable to pay such fines.

If a Vehicle has not been dropped-off post 24-hours of the agreed upon Drop-off time, and the Renter has been unresponsive throughout that time, the Owner shall take all necessary legal actions against Renter for the breach of trust and theft of his Vehicle with the competent authorities by virtue of the legal documents, including the Rental Agreement signed by Renter at the time of Pick-up. The Owner must contact Dryve’s customer service immediately to inform them of the incident to suspend Renter’s account.

Renters will have the option to file a Renter Dispute on the App. In said event, Dryve will review the submitted request, revert to both parties, and appropriately compensate/charge the User(s). Dryve’s decision will be final in such matters.

Both Users will be asked to rate each other and their experience on the App. Dryve is not responsible for its Users’ peer reviews but reserves the right to remove any review by a User if it violates the laws in force, or Dryve considers the language inappropriate.

 

  1. PENALTIES

 

Dryve acts as an intermediary for payment and/or compensation in the event a Penalty occurs. Dryve shall deduct any applicable Penalties directly from liable Users through the original method of payment used. Failure to make payment in regard to Penalties, will place Owners at risk of having their account de-registered or suspended.

 

Administrative Fees may also apply to the User charged with a Penalty. Late Fees and Excess Miles Fees will also be susceptible to Service Fees. Exhibit B illustrates the full breakdown of the Penalties.

 

By accepting the Terms, Renters and Owners recognize the following penalties, and accept such liability:

 

  1. Late Fee:

Renters shall be subject to a late fee if the Vehicle is returned after the agreed upon Drop-off date and time aforementioned in the Dryve Rental Form. The Renter will be billed the daily Rental Charges for every day post the agreed-on Drop-off date  minus any discounts applied to the trip. In addition to the late fee, the Renter shall bear any applicable legal fees. Service Fees will also apply for both the Renter and Owner as stated in the Schedule below.

 

  1. Unfilled Fuel Fee / Penalty:

Renters that Drop-off Vehicles with lower than recorded fuel levels at Pick-up will be subject to a Penalty;

 

  1. Traffic Fines:

Renters are held completely liable for any and all traffic fines incurred during the Rental Period. A copy of the report must be submitted by the Owner and the fees for such will be deducted from the Renter and reimbursed to the Owner once the Renter makes the payment;

 

  1. Excess Mileage Fee:

Renters that exceed the effective 250 km limit of usage per day will be charged an “Excess Millage fee”. The amount of such fee is calculated as a direct factor of the daily Rental Charge. The fees for such will be deducted from the Renter and fully refunded to the Owner. Service Fees will apply to the Owner;

 

 

  1. Owner Cancellation Penalty:

If the Owner cancels a confirmed Booking, after the full Rental Charges have been paid, 2 days before the Pick-up date, the Owner will be subject to a cancellation Penalty.

 

  1. PAYMENT

 

You agree and understand that your use of the Services provided via the App will result in Rental Charges, Service Fees, and Other Additional Charges. Dryve acts as an intermediary and shall be responsible for facilitating the payment of Fees and Charges to the designated Owner, Renter, and to Allianz, net of Dryve Commission and any Other Additional Charges, such as Administrative Fees as stated in the Fees Schedule found under Exhibit B. Administrative Fees are subject to changes over time at Dryve’s sole discretion.

 

Dryve’s liability to pay amounts to the Owner shall be limited to amounts paid by the Renter and received by Dryve through the payment systems available on the App.

 

Dryve reserves the right to pend and/or reverse invoices in the event of Renter Disputes, Accidents, and miscalculations. Users should be aware that if an invoice is considered pending or reversed, payment will be delayed or canceled. Dryve’s decision will be final in such matters and all Users involved are required to accept such alterations to their invoice.

 

Dryve currently facilitates payment to/from Renters through Fawry and Accept. Owners will receive a notification informing them when their funds are ready for collection at any Fawry or Accept outlet. Owners will receive a One-Time Password (OTP) via SMS to verify their identity and collect payments. Dryve will not be held liable nor will we refund Users in the event of a lost or stolen OTP or mobile phone. It is the Owner’s sole liability to make sure that his/her OTP is kept safe and not communicated to anyone.

PLEASE READ AND ACCEPT THESE SUPPLEMENTAL TERMS OF SERVICE CAREFULLY PRIOR TO REGISTERING AS A RENTER AND ACCESSING OR USING THE APP OR WEBSITE AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. THESE SUPPLEMENTAL TERMS SHOULD BE READ AND ACCEPTED IN CONJUCTION WITH THE TERMS AND CONDITIONS AND TOGETHER CONSTITUTE A SINGLE SET OF TERMS AND CONDITIONS FOR THE USE OF THE DRYVE APP, PLATFORM, OR WEBSITE.

 
NOTE ALL OBLIGATIONS CONCERNING THE CONDITION OF VEHICLES PRIOR, DURING, AND POST THE RENTAL PERIOD, INSURANCE LIABILITES, AND PENALTIES.

 

  1. KEY TERMS AND DEFINITIONS

 

  1. The definitions and rules of interpretation in this clause apply to all provisions of the Renters’ Supplemental Terms. All other terms are defined in the Terms and Conditions:

 

  1. “Administrative Fee” is a fee charged by Dryve to cover expenses incurred as a result of administering and processing Penalties, Renter Disputes, and Claim Forms;

 

  1. “Conditions of Vehicle Use” means the definition given in Clause C.1;

 

  1. “Drop-off Inspection Form” refers to the form with compulsory fields on the App required to be filled at Drop-off for the Rental Period to officially end. The Drop-off Inspection Form entails the recording of fuel and mileage levels, uploading clear pictures of the Vehicle, as well as pictures of any damages in the case of a Claim;

 

  1. “Drop-off Date” refers to the date and time mentioned in the Rental Agreement and Release Form and represents the actual delivery date and time of the Booked Vehicle from the Renter back to the Owner at Drop-off. It is separate from the End Date;

 

  1. “Renter Dispute” refers to the disagreement submitted by the Renter to any of the following information entered on the Drop-off Inspection Form: (i) fuel levels; (ii) excess mileage; and (iii) damages;

 

  1. “Renter Registration Process” means the mandatory processes, as described in Clause B, that applicants need to undertake to be classified and recognized as Renters. It includes the submission of documents and other onboarding procedures deemed necessary at the discretion of Dryve;

 

  1. “End Date” is the date mentioned in the Rental Agreement as the “End Date” for the term of the Rental Agreement and is separate from the Drop-off date;

 

  1. “Exclusions to Vehicle Use” means the definition given in Clause C.2;

 

  1. “Legally Binding Documents” means the documents stated in Clause B to be signed by each applicant post their selection;

 

  1. “Maintenance Fee” means the daily sum paid, accounting for the Vehicle’s service and maintenance. Maintenance Fees are calculated by Dryve based on the Vehicle’s category and are a component of Rental Charges;

 

  1. “Nactia” refers to Nacita Auto Care with the website: autocare.nacita.com. Nacita Inspections are highly recommended and may be obligatory for some Cars;

 

  1. “Pick-up Inspection Form” refers to the form with compulsory fields on the App required to be filled out at Pick-up for the Rental Period to officially begin. The Pick-up Inspection Form entails recording of fuel and mileage levels, uploading clear pictures of the Vehicle, and pictures of any pre-existing damages;

 

  1. “Premium Surplus” refers a surcharge imposed on the Premium to circumvent possible risk factors exposing the Insurer such as the age of the Renter;

 

  1. “Personal Insurance Fee” refers to the monetary amount paid by the Renter to the Owner in the case of an accident during a Dryve Trip, the amount is limited to the total deductible paid by the Owner, subject to the submission of evidence and confirmation of the amount by Dryve with a maximum liability to the renter of EGP 10,000;

 

  1. “Release Form” refers to the form which makes up part of the Rental Agreement required to be filled and signed by the Owner upon the receipt of his Vehicle, marking the termination of the Rental Agreement and the discharge of Renter of his obligations under the Rental Agreement;

 

  1. “Start Date” is the date mentioned in the Rental Agreement as the “Start Date” for the term of the Rental Agreement and is concomitant with the Pick-up date;

 

  1. “Theft” refers only to theft by third parties and excludes breach of trust by Renter and/or Owner.

 

  1. Where the expression “including” is used, this is to be constructed as being immediately followed by the expression “without limitation.

 

  • Definitions include the singular/plural term.

 

 

  1. RENTER REGISTRATION PROCESS

 

 

  1. Renter Registration

Users must provide and/or sign the following documents in order to successfully register as a Renter:

 

  1. Valid national ID,
  2. Valid Driving License,
  • Criminal Record,
  1. Proof of Residency,
  2. Dryve Agreement,
  3. Any other documents Dryve would require the Renter to sign or submit for activating and verifying a Renter account.

Only after Dryve has received and verified the documents it deems necessary will a User become a verified Renter and can make Bookings.

The collection and use of such information is as provided in Dryve’s Privacy Policy. You hereby undertake to provide true, accurate, and complete information and that you will be responsible for ensuring that the information and Contact Information is up-to-date at all times.

Dryve, reserves the right to refuse handing over Legally Binding Documents, and use them if need be, if a Renter has unpaid balances or has failed to see through any Renter obligations and liabilities under the Terms and Supplemental Terms. Further, the Renter may be held liable for the breach of his obligations under the Dryve Agreement and penalties provided for therein shall apply.

  1. Renter Account

 

You acknowledge responsibility for your account and any activities or transactions on your account. You agree to maintain the secrecy of your information on your account including your username and password for its access.

 

You understand and acknowledge that you may not allow other individuals to use your credentials to rent Vehicles on the App, conduct Bookings or in any way deal with other Users on the App, and that you shall be held solely liable for any damages or liabilities arising out of such use caused to Owners, Dryve or other affected parties without prejudice to their right to invoke legal action or proceedings against you and the other User to the full extent permissible under Egyptian law.

 

  1. Renter De-registration

 

Dryve reserves the right to de-register or suspend any User who has previously been successfully registered as a Renter in case of his breach of the Terms and Conditions, the Dryve Agreement and/or the provisions of the Rental Agreement or has acted in a way negatively impacting the reputation of Dryve, and to reject any attempt by any applicant to register as a User.

 

Any Bookings made by Users that have been de-registered, shall be considered to have been cancelled and terminated. All Legally Binding Documents will be terminated and returned to the Renter within 90 days, should the Renter de-register. Once terminated, any upheld relationship between the Renter, Dryve and its Users is no longer deemed on-going or valid.

 

  1. INSURANCE

 

Under the Dryve app, Vehicles can be either covered through the Insurance Policy provided by Allianz or by Owner’s Personal Insurance Coverage.

 

Dryve has arranged for comprehensive insurance from Allianz to cover Vehicles during the Rental Period. Insurance Coverage will initiate at Pick-up and cease at Drop-off. Insurance Coverage is optional for Users of the Dryve App. The Insurer shall cover certain risks as detailed in the Insurance Policy Terms. The Insurance Policy covers total loss, partial loss and/or damage to the Vehicle during the Rental Period.

 

To the best of Dryve’s knowledge, all published Vehicles under Personal Insurance are insured by an insurance provider, independent from Dryve, and the Insurance Policy, Covering Vehicles during Dryve Trips. Owners with Vehicles under Personal Insurance Coverage will be entitled to a Personal Insurance Fee in the case of an accident, this amounts to a minimum of either the deductibles paid by the Owner regarding the accident or EGP 10,000. The Personal Insurance Fee is payable by the Renter to the Owner through Dryve.

 

Vehicles fall under two insurance premium tiers, a Vehicle’s make and model will determine the Premium bracket payable by both Users. Premium will be deducted from both the Renter and the Owner as part of the Service Fee.

 

Renters will be subject to a Premium Surplus depending on their age at the time of the beginning of the Rental Period as per Exhibit A below:

Dryve, in accordance with Allianz, reserves the right to change premium rates and Surpluses over time.

 

In the event of a total or partial loss Claim, loss adjusters sent by Allianz will determine the value of the Vehicle as of the date of the accident and reserve the right to determine whether a Vehicle is in a state of total or partial loss at their sole discretion.

 

  1. Conditions of Vehicle Use

 

Renter’s will be selected and kept onboard assuming they fit and adhere to the below criteria and conditions. Renters must adhere to the Conditions of Vehicle Use to deem them eligible for Insurance Coverage. Should renters not meet the below Conditions of Vehicle Use, Allianz is no longer liable to provide insurance coverage and the renter will be considered fully liable for the repair or replacement of the damaged vehicle and should accept any charges and/or penalties that arise.

 

  1. Renters must be a minimum of 21 years of age;
  2. Renters must be under 65 years of age;
  3. Renters must have a valid driving license during the entire Rental Period;
  4. Vehicles should not, under any circumstances, be driven by anyone else other than the verified Renter;
  5. Renters are required to safely lock and remove keys when outside of the Vehicle;
  6. Renters must properly inspect and photograph the Vehicle clearly at Pick-Up;
  7. In the event of a major accident that constitutes as Theft, fire, or preemptively deemed a total loss and/or repairs might exceed EGP 20,000 a police report be filed.

 

  1. Exclusions to Vehicle Use

 

Should a Booked Vehicle be subject to damage or loss that surrounds the below stated Exclusions to Vehicle Use or coverage limitations, the Renter will be considered fully liable for any loss or damages and should accept any legal and/or financial charges and/or Penalties that may arise. Allianz in turn will not be held liable to provide any Insurance Coverage that arises from said Claims.

 

  1. Any activity that violates Egyptian law, which includes anything from any and all parking or other traffic violations to robberies and other crimes;
  2. General negligence to the Vehicle such as leaving it unattended with keys inside;
  3. Any accidental loss or damage caused to a third party’s property or Vehicle.

 

Coverage does not apply to the following geographical areas:

  1. Airport Aprons;
  2. Airport Taxiways;
  3. Airport Runways;
  4. Areas past security gates in terminal buildings;
  5. Accidents and or loss anywhere outside of the Arab Republic of Egypt.

 

  1. Deductibles

 

Should the Vehicles meet the Vehicle Conditions and the damage or loss does not surround the Vehicle Exclusions, Renters will be deemed liable for Deductibles that would be required in the event of a successful Claim due to damage or loss to the Vehicle during the Rental Period. Owners may be required to pay the Deductible when receiving their Vehicle from the Approved Repair Center and will later receive reimbursement for it from the Renters through Dryve.

 

Deductibles are the maximum of EGP 10,000 of 10% of the total repair cost, in addition to all Special Terms, and are subject to changes from time to time at Dryve’s and Allianz’s discretion.

 

  1. Special Terms

The following is a list of special terms surrounding Insurance Coverage concerning the Renter as set by the Insurer in the Insurance Policy with regards to Vehicle repairs.

 

  1. Regardless of Vehicle make, model, and year, Renters must bear 25% of the total cost of an inflated airbag during a collision.
  2. Mechanical and electrical parts, suspension systems, exhaust system, tires, rust and corrosion (glass, headlights, taillights, or paint) are subject to a depreciation cost borne by the User. Refer to Exhibit C for a breakdown.

  • For Vehicles aged less than a year, Users bear 25% of the cost to repair tires and batteries whereas Vehicles aged 2 years and above require that Users bear 50% of the cost of tires and batteries.

 

  1. Misuse Policy

 

Renter will be considered fully liable for any loss or damages and should accept any legal and/or financial charges and/or Penalties that may arise as a result of any damages to the mechanical parts of the vehicle due to misuse of the Vehicle during the rental period as deemed by independent loss adjusters sent by Allianz.

 

  1. Claims Process

 

Renters and Owners must take and upload clear distinct and unobstructed pictures at Pick-Up and Drop-Off for the Insurance Coverage and any respective Claim to be deemed valid.

 

Renters are required to submit Claims for major damage that occurs to a Vehicle during the Rental Period through the App or via telephone to Dryve’s customer service center. Major damage is said to occur when the Vehicle is immobile and can no longer complete its Rental Period. Renters will be required to file and upload on the app a copy of the police report along with the Claim Form if the damage constitutes as Theft, fire, third-party liability, is preemptively deemed a total loss.

 

In the event of an accident and post the submission of a Claim Form by the Renter, the Renter assumes the responsibility of transferring the Vehicle to one of the Owners chosen Approved Repair Centers as stated on the App.

Renters must review and make sure that all inputted information is accurate prior to submitting their Claim. Administrative Fees may apply to submitted Claim Forms and are invoiced to the Owner.

  1. RENTING VEHICLES

 

  1. Booking a Vehicle

 

Once a Renter has successfully registered and has been fully onboarded, they can then consult the Vehicles published by Owners directly on the App using the search tools provided.

 

Dryve has six Vehicle categories; “dryve Y”, “dryve Direct”, “dryve Red”, “dryve Silver”, “dryve Black”, and “dryve io”. A Vehicle’s Market Value at the time of listing will determine which category it falls in and in turn the Vehicle’s Daily Rate range, daily Maintenance Fee, and Service Fees. Owners will be able to determine their preferred Daily Rate within their Vehicle’s respective range

 

Service and Insurance Fees are subject to Premium Surplus depending on the Renter’s age as per Exhibit A in Clause C.

 

Certain Owners will be required to undertake Nacita inspections for their Cars, while others may skip and have the Vehicle’s first Renter carry out the inspection on the Owner’s behalf. Inspection costs will be fully borne by the Owner and will be deducted from the trip’s Rental Charges and refunded to the Renter once the inspection report is uploaded on the App.

 

Dryve shall make reasonable effort to ensure that all the Vehicles listed on the App meet a standard that allows them to pass the Nacita inspection. Dryve does not, however, guarantee that all Vehicles will pass the inspection and advises that you predetermine, depending on your intended use, the minimum Vehicle requirements before starting the Rental Period at your own risk. Renters are solely liable for all Rental Charges, Service Fees and Other Additional Charges incurred from Booking a Vehicle, regardless of its inspection results. Vehicles with a positive inspection result will be clearly marked with a green tick mark on the App.

 

Once a Renter picks a suitable Vehicle, they are then able to send Booking requests to Owners. Renters can have up to ten active Booking requests for the same Rental Period at any one time. The first Booking accepted by an Owner will automatically cancel all other Booking requests for the same Rental Period.

 

Renters will be notified when an Owner rejects or does not accept their Booking requests in the required time frame.

 

When an Owner accepts a Booking Request, the Renter is notified on the App and by email and is required to pay the full amount of applicable Charges within the stated time-limit on the App from the Owner’s response. The Booking request is confirmed once the payment has been successfully made and the Owner has received confirmation on the App or by email. Only after payment is complete will Renters be able to contact Owners to request additional information regarding the exact Pick-up time and location.

 

Once payment for the Booking has been made by the Renter, the Owner shall be committed to the Booking and must provide the Vehicle for rental to the Renter for the agreed upon Rental Period.

 

If the Owner cancels the Booking request, which can only be done by contacting Dryve directly, you will be notified. Dryve will fully refund the amount you paid for the Booking.

 

If you fail to show-up at Pick-up or wish to cancel the Booking, you will be subject to a Renter cancellation fee.

 

  1. Pick-Up

 

It is the sole responsibility of the Owner to ensure, at the time of the hand-over of the Vehicle to the designated Renter, that the Vehicle meets all Vehicle conditions, is safe to drive, and can complete the Rental Period.

 

Upon successful inspection by the Renter of the Vehicle, both parties should sign the legal documents, including copies of the Rental Agreement, as provided by Dryve, two of which shall remain in the possession of the Owner for the duration Rental Period.

 

Before signing, both parties should fill in the provided Rental Agreement with all the details about the Owner, the Renter, the Vehicle, and the Start and End Dates and times correctly filled out, and sign thereon. The Drop-off Date and time fields in the Rental Agreement and the Release Form should not be filled out or signed until Drop-off or in the event of an accident where the Renter drops-off the Vehicle at one of the Approved Repair Centers. All times on the Rental Agreement should be diligently recorded.

 

Pick-up is deemed successful in the event the following conditions are met:

  1. The Renter has brought along all necessary documents relating to his identification for the Owner to review, including his valid driving license and any government-issued form of identification. The Owner will refuse delivery of the Vehicle if the person wishing to take possession of the Vehicle is unidentified or is not the Renter as stated in the Dryve Rental Form.

 

  1. The Pick-Up Inspection Form is completed and agreed upon by both parties. The Rental Period begins when both the Owner and the Renter agree on the condition of the Vehicle, sign the filled-out Rental Agreement and the legal documents provided on the App, complete the Pick-up Inspection Form, and the Vehicle keys are handed over by the Owner to the Renter.

 

  1. During the Rental Period

 

Both Users will be able to contact each other during the Rental Period.

 

Renters that exceed the stated average mileage of 250 km per day are subject an excess mileage fee for every extra km consumed payable to the Owner through Dryve, as stated in Clause E.

 

Renters are financially liable for any traffic fines and violations that may be committed during the Rental Period.

 

  1. Drop-Off

 

At the end of the Rental Period and upon the return of the Vehicle, the Renter and the Owner shall check the condition of the Vehicle, take and upload clear pictures of the Vehicle, report any damages to the Vehicle, and complete the Drop-off Inspection Form.

 

At the time of Drop-off and prior to filling the Inspection Form, the Owner shall fill out the Drop-off Date field, complete and sign the Release Form and shall then give back to the Renter all such legal documents that were signed at the time of Pick-up, keeping one copy of the Rental Agreement with him.

 

Renters are required to return the Vehicle’s license and keys to the Owner and the Vehicle in a clean condition with the same fuel level as that recorded at Pick-up, and within the mileage limit for the duration of the Rental Period. Failure to comply with such requirements will constitute in a Charge or Penalty payable to the Owner by the Renter through Dryve.

 

If a Vehicle has not been dropped-off post 24-hours of the agreed upon Drop-off time on the Dryve Model Rental Agreement, and the Renter has been unresponsive throughout that time, the Owner shall take all necessary legal actions against Renter for the breach of trust and theft of his Vehicle with the competent authorities by virtue of the legal documents, including the Rental Agreement signed by Renter at the time of Pick-up. The Owner must contact Dryve’s customer service immediately to inform them of the incident to suspend Renter’s account. Necessary procedures for the recovery of the Vehicle will follow. and the Renter shall be held liable for his breach of the Dryve Agreement and for causing damage to Dryve’s reputation.

 

Renters will have the option to file a Renter Dispute on the App. In said event, Dryve will review the submitted request, revert to both parties, and appropriately compensate/charge the User(s). Dryve’s decision will be final is such matters.

 

Both parties will be asked to rate each other and their experience on the App. Dryve is not responsible for its Users’ peer reviews but reserves the right to remove any review by a User if it violates the laws in force, or Dryve considers the language inappropriate.

 

  1. PENALTIES

 

Dryve acts as an intermediary for payment and/or compensation in the event a Penalty occurs. Dryve shall deduct any applicable Penalties directly from liable Users through the original method of payment used. Failure to make payment in regard to Penalties, will place Owners at risk of having their account de-registered or suspended.

 

Administrative Fees may also apply to the User charged with a Penalty. Late Fees and Excess Miles Fees will also be susceptible to Service Fees. Exhibit B illustrates the full breakdown of the Penalties.

 

By accepting the Terms, Renters and Owners recognize the following penalties, and accept such liability:

 

  1. Late Fee:

Renters shall be subject to a Fee if the Vehicle is returned after the agreed upon Drop-off date and time aforementioned in the Dryve Rental Form. The Renter will be billed the daily Rental Charges for every day post the agreed-on Drop-off date minus the discounts applied to the trip plus an admin fee stated in Exhibit B below. In addition to the late fees, the Renter shall bear any applicable legal fees. Service Fees will also apply for both the Renter and Owner;

 

  1. Unfilled Fuel Fee / Penalty:

Renters that Drop-off Vehicles with lower than recorded fuel levels at Pick-up will be subject to a Penalty;

 

  1. Traffic Fines:

Renters are held completely liable for any and all traffic fines incurred during the Rental Period. A copy of the report must be submitted by the Owner and the fees for such will be deducted from the Renter and reimbursed to the Owner once the Renter makes the payment;

 

  1. Excess Mileage Fee:

Renters that exceed the effective 250 km limit of usage per day will be charged an “Excess Millage Fee”. The amount of such fee is calculated as a direct factor of the daily Rental Charge. The fees for such will be deducted from the Renter and fully refunded to the Owner. Service Fees will apply to the Owner;

 

  1. Renter Cancellation Penalty:

If the Renter cancels a confirmed Booking, after the full Rental Charges have been paid and 2 days before the Pick-up date, the Renter will be subject to a cancellation Penalty.

 

  1. PAYMENT

 

You agree and understand that your use of the Services provided via the App will result in Rental Charges, Service Fees, and Other Additional Charges. Dryve acts as an intermediary and shall be responsible for facilitating the payment of said fees and charges to the designated Owner, Renter, and to Allianz, net of Dryve Commission and any Other Additional Charges, such as Administrative Fees as stated in the Fees Schedule found under Exhibit B. Administrative Fees are subject to changes over time at Dryve’s sole discretion.

 

Dryve reserves the right to pend and/or reverse invoices in the event of Renter Disputes, Accidents, and miscalculations. Users should be aware that if an invoice is considered pending or reversed, payment will be delayed or canceled. Dryve’s decision will be final in such matters and all Users involved are required to accept such alterations to their invoice.

 

Dryve currently facilitates payments from Renters through Fawry and Accept. Once at an outlet, Renters will be made aware of their Dryve balance and any outstanding fees from previous Bookings. You will not be able to Book nor start a trip unless all outstanding balances, from previous and upcoming trips, have been completely paid off.

 

In the case of a refund, Renters will receive a message informing them that their funds are ready for collection at any Fawry or Accept outlet. Renters will receive a One-Time Password (OTP) via SMS to verify their identity and collect payments. Dryve will not be held liable nor will refund Users in the event of a lost or stolen OTP. It is the Renter’s sole liability to make sure that his/her OTP is kept safe and not communicated to anyone.

INSURANCE POLICY TERMS

 

OWNERS THAT OPT FOR INSURANCE COVERAGE PROVIDED BY ALLIANZ AND ARRANGED THROUGH DRYVE SHOULD PLEASE NOTE ALL OBLIGATIONS CONCERNING THE CONDITION OF THE VEHICLE PRIOR TO THE RENTAL, AS WELL AS ALL CONDITIONS, EXCLUSIONS, SPECIAL TERMS, AND CLAIMS OF THE POLICY. THESE INSURANCE POLICY TERMS SHOULD BE READ AND ACCEPTED IN CONJUCTION WITH THE TERMS AND CONDITIONS AND TOGETHER CONSTITUTE A SINGLE SET OF TERMS AND CONDITIONS FOR THE USE OF THE DRYVE PLATFORM, APP, AND/OR WEBSITE.

 

 

  1. KEY TERMS AND DEFINITIONS

 

  1. The definitions and rules of interpretation in this clause apply to all provisions of the Insurance Policy Terms.

 

  1. “Administrative Fee” is a fee charged by Dryve to cover expenses incurred as a result of administering and processing Penalties, Renter Disputes, and Claim Forms;

 

  1. “Allianz” refers to Allianz Insurance Company- Egypt with the web address: https://www.allianz.com.eg/en_GB.html. Allianz Egypt is a subsidiary of Allianz SE with headquarters in Munich. Allianz is interchangeably referred to as the Insurer with reference to the partnership with Dryve;

 

  1. “Approved Repair Center” refers to the various repair centers that are both approved by Dryve and Allianz for the repair of Vehicles under Insurance Coverage given that the Vehicle has undergone any loss or damage;

 

  1. “App” refers to the Dryve application, the medium by which Dryve offers its Services to Users. App may be used interchangeably to refer to applications and/or the Dryve Platform;

 

  1. “Booking” refers to the arrangement conducted and agreed to by a Renter and an Owner in relation to the rental of a Vehicle in accordance with the provisions of these Terms and as stated in the Dryve Model Rental Agreement;

 

  1. “Car” refers to the Cars listed by Owners on the App pending both verification by Dryve and the selection of rental preferences made by the Owner;

 

  1. “Claim” refers to a formal request sent by Users and/or Dryve to the Insurer for the Insurance Coverage to take effect for compensation for a Covered loss or damage to a Vehicle;

 

  1. “Claim Form” means the form sent to Allianz detailing the damage and/ or loss done to a Vehicle during the Rental Period. It is completed by either Dryve, the Owner, or the Renter and can be done by filling out all the required fields on the App;

 

  1. “Conditions of Vehicle Use” means the definition given in Clause C.1;

 

  1. “Covered Loss” means the amount covered by the Insurance Policy in the case of a successful Claim, less any Deductibles, and in the case of partial or total loss as determined by the provisions set in Clause B based on the accepted Sum Insured;

 

  1. “Deductible” is the first loss payment and is the amount of money required by the Insurer to be paid by the Renter under Insurance Coverage in the event a Claim has been approved;

 

  1. “Drop-off Charges” refers to the agreed upon date, time, and location whereby both Users meet, diligently inspect the Vehicle, complete the Drop-off Inspection Form, and the Renter hands back over the Vehicle to the Owner, marking the end of the Rental Period;

 

  1. “Drop-off Inspection Form” refers to the form with compulsory fields on the App required to be filled at Drop-off for the Rental Period to officially end. The Drop-off Inspection Form entails the recording of fuel and mileage levels, uploading clear pictures of the Vehicle, as well as pictures of any damages in the case of a Claim;

 

  1. “Dryve Model Rental Agreement” means the model required to be used by the Owner and the Renter representing all Booking information as displayed on the App and/or email;

 

  1. “Exclusions to Vehicle Use” means the definition given in Clause D.1;

 

  1. “Insurance Coverage” refers to the conditions and exclusions of cover, and the type and amount of financial coverage for insured Vehicles provided by Allianz. Owners that opt for Insurance Coverage have their Vehicles covered only during the Rental Period. Insurance Coverage is used interchangeably with Coverage;

 

  1. “Insurance Fee” refers to both the monetary premium payable by the relevant Renter and the relevant Owner, embedded in the payment of Service Fees, for Insurance Coverage of the relevant Vehicle for the relevant Rental Period, and any Deductibles payable to Allianz in the event of an accident and/or Claim;

 

  1. “Insurance Policy” refers to the policy provided by Allianz and arranged through Dryve. The Insurance Policy states the relationship between the Insurer, Allianz, and the Policy Holder, Dryve, as well the Insurance Fees and Claims process;

 

  1. “Insurer” refers to Allianz with reference to the partnership with Dryve;

 

  1. “Market Value” means the market value of Vehicles on Dryve calculated at the time of publishing using an integrated Contact Cars API. The Market Value is determined by the Vehicle’s make, model, year, and mileage, and is determined using its average price on the Contact Cars website over 6 months prior to the listing date;

 

  1. “Maintenance Fee” means the daily sum paid, accounting for the Vehicle’s service and maintenance. Maintenance Fees are calculated by Dryve based on the Vehicle’s category and are a component of Rental Charges;

 

  1. “Nactia” refers to Nacita Auto Care with the website: autocare.nacita.com. Nacita Inspections are highly recommended and may be obligatory for some Cars;

 

  1. “Owner” refers to any applicant who has filled in all mandatory fields in the Owner’s registration form on the App and has successfully listed a verified Vehicle as detailed in the Owner Supplemental Terms;

 

  1. “Personal Insurance” refers to motor insurance policy sourced by the Owner and provided by an insurance firm separate from both Dryve and the Insurance Policy, which covers their Vehicle during a Dryve Trip. Owners that opt to use their Personal Insurance are not covered by Allianz throughout the Rental Period;

 

  1. “Pick-up” refers to the agreed upon date, time, and location whereby both Users meet, diligently inspect the Vehicle, complete the Pick-up Inspection Form, and the Owner hands over the Vehicle to the Renter, marking the beginning of the Rental Period;

 

  1. “Platform” refers to all the mediums which Dryve Holdings Limited BVI, Dryve Egypt LLC and, or any of their affiliates offers its Services to Users. Mediums include the Dryve application, Ryde application, and the Website. Platform may be used interchangeably with App, website, and/or site;

 

  1. “Policy Holder” refers to Dryve with reference to its role in the Insurance Policy provided by AXA as detailed in the Insurance Policy Terms;

 

  1. “Rental Charges” refers to the charges payable by a Renter to the relevant Owner for the use of his/her Vehicle during an agreed upon Rental Period. Rental Charge is the addition of the Daily Rate set by Owners for the number of days that make up the Rental Period and the Maintenance Fee;

 

  1. “Rental Period” means the period whereby the Owner’s Vehicle is in the Renter’s possession while he is on a Trip. The period starts from Pick-Up and ends at Drop-off, or in the event of an Accident when the Renter has successfully delivered the Vehicle to an Approved Service Center for repair;

 

  1. “Renter” refers to any User who has successfully completed and passed the Renter Registration Process, as outlined in the Renter Supplemental Terms, enabling them to rent out Vehicles from Owners;

 

  1. “Pick-up Inspection Form” refers to the form with compulsory fields on the App required to be filled at Pick-up for the Rental Period to officially begin. The Pick-up Inspection Form entails recording of fuel and mileage levels, uploading clear pictures of the Vehicle, and pictures of any pre-existing damages;

 

  1. “Policy Holder” refers to Dryve with reference to its role in the Insurance Policy provided by Allianz;

 

  1. “Premium Surplus” refers a surcharge imposed on the Premium to circumvent possible risk factors exposing the Insurer such as the age of the Renter;

 

  1. “Services” refers to your access and use of the Dryve App and all its offered utilities as stated in the Terms & Conditions;

 

  1. “Service Fees” is a variable percentage fee, depending on the Vehicle category, payable by all Users and retained by Dryve. Service Fees generally make up Dryve Commission and address a number of other costs including customer service. Service Fees under the Dryve App and for Owners that opt for Insurance coverage include Premiums. Service Fees apply to Late Fee Penalties and Excess Mileage Penalties. See Exhibit B in the Supplemental Terms for a complete breakdown;

 

  1. “Sum Insured” means the definition given in Clause B;

 

  1. “Theft” refers only to theft by third parties and excludes breach of trust by Renter and/or Owner;

 

  1. “User” refers to any person who has an active account on the App. This term is used to refer to Owners and R interchangeably;

 

  1. “VAT” means Value Added Tax and is calculated as 14% of Dryve Commission and is deducted from all Users on a pro-rate basis on behalf of tax authorities;

 

  1. “Vehicle” refers to any Car listed by its Owner and published by Dryve on the App for Renters to rent;

 

  1. “Vehicle Conditions” means the definition given in Clause C.2;

 

  1. “Vehicle Exclusions” means the definition given in Clause D.2;

 

 

  1. Where the expression “including” is used, this is to be constructed as being immediately followed by the expression “without limitation.

 

  • Definitions include the singular/plural term.

 

 

  1. TYPE OF COVERAGE

 

Dryve is neither an insurance company nor an insurance broker and shall not be held liable to compensate any cases of breach of trust, damages or theft of the Booked Vehicle. Dryve does not directly or indirectly insure Vehicles rented through the App. Dryve is named a Policy Holder on the Insurance Policy and is not a direct Insurer. If you choose to receive protection under this policy, your Coverage is provided by Dryve’s insurance partner, Allianz. Dryve only acts as an intermediary offering such insurance products to Users of the Dryve App.

 

For Car Owners with Vehicles listed under the Insurance Policy, Dryve has arranged for comprehensive insurance from Allianz to cover Vehicles during the Rental Period. Insurance Coverage will initiate at Pick-up and cease at Drop-off. Insurance Coverage is optional for Users of the Dryve App. In case of a successful Claim, Vehicles are required to be repaired at an Approved Repair Center.

 

To the best of Dryve’s knowledge, all published Vehicles under Personal Insurance are insured by an insurance provider, independent from Dryve, and the Insurance Policy, Covering Vehicles during Dryve Trips. By opting for Personal Insurance Coverage and accepting these terms, Owners guarantee that published Vehicles on the Platform possess fully comprehensive insurance that covers Users throughout a Dryve Trip and that any Accidents that occur during a Dryve Trip will be covered as per the Owner’s Personal Insurance policy. UNDER PERSONAL INSURANCE, OWNERS ACKNOWLEDGE THAT ALL RISKS, DAMAGES, AND LOSSES THAT ARISE DURING A DRYVE TRIP ARE BORNE BY THE OWNER AND/OR THEIR RESPECTIVE INSURANCE PROVIDER. Owners with Vehicles under Personal Insurance Coverage will be entitled to a Personal Insurance Fee in the case of an accident, this amounts to a maximum of either EGP 10,000 or 10% of the Repair Amount. The Personal Insurance Fee is payable by the Renter to the Owner through Dryve.

 

  1. POLICY TERMS

 

Vehicles fall under two insurance premium tiers, a Vehicle’s make and model will determine the Premium bracket payable by both Users. Premium will be deducted from both the Renter and the Owner as part of the Service Fee.

 

Renters will be solely subject to a Premium Surplus depending on their age at the time of the beginning of the Rental Period as per Exhibit A below:

Dryve, in accordance with Allianz, reserves the right to change premium rates and Surpluses over time.

 

In the event of a total or partial loss Claim, loss adjusters sent by Allianz will determine the value of the Vehicle as of the date of the accident and reserve the right to determine whether a Vehicle is in a state of total or partial loss at their sole discretion.

 

A Vehicle is considered a total loss/ write-off if it costs more than 50% of its independently assessed market value to repair. In said event of total loss, Insurance Coverage extends to 100% of the Market Value of the Vehicle (“Sum Insured”). The Owner is deemed to have accepted the stated Vehicle’s Sum Insured. Owners hereby acknowledge that they understand and agree that the accepted Sum Insured shall be the basis for the calculation of the Coverage amount under the Insurance Policy and is subject to change over the lifetime of the Vehicle as determined by the loss adjuster.

 

Vehicles must be repaired at an Approved Repair Center. If the Vehicle is repaired at a repair center not on the list of Approved Repair Centers, it is considered outside of Coverage and Allianz will no longer be held liable to provided Insurance Coverage.

 

Authorized dealers are clearly labelled on the App along with the Approved Repair Center’s billing type. Owners will be notified should their Vehicle no longer satisfy the chosen Approved Repair Center age limit and may be required to update their chosen Approved Repair Centers to fit the criteria.

If a Vehicle is repaired at an Approved Repair Center that falls within the Allianz direct network (labelled as "Direct Billing" centers on the App), Owners will only be required to pay the Deductible when collecting their Vehicle from the Repair Center. Owners will receive reimbursement for the Deductible which is payable by Renter through Dryve.

 

Vehicles over their tenth manufacture year are limited to non-agency repair.

 

If a Vehicle is repaired at an Approved Repair Center that is not within the Allianz direct network (labelled as "Pay and Reimburse" centers on the App), Owners will be required to pay the total repair cost, which includes the Deductible, when collecting their Vehicle from the Repair Center.

 

Owners will receive reimbursement for the Deductible, which is payable by the Renter through Dryve, and reimbursement for the remaining repair cost from Allianz. Owners will be required to send the repair cost invoice when requesting for any reimbursement.

 

Dryve reserves the right to share User and Vehicle identifiable information with Allianz for the sake of providing Insurance Coverage and investigating Claim Forms. The collection and use of such information are as provided in Dryve’s Privacy Policy.

 

Insurance Coverage as stated in the Insurance Policy is governed in accordance to Egyptian Law. Any disputes that arise under or in connection of said Coverage or Policy shall both be subject to and handled by Egyptian Courts.

 

 

  1. CONDITIONS

 

Users and Vehicles must adhere to certain requirements and conditions making them eligible for Insurance Coverage. 

 

  1. Conditions of Vehicle Use:

RENTERS’S WILL BE SELECTED AND KEPT ONBOARD ASSUMING THEY FIT AND ADHERE TO THE BELOW CRITERIA AND CONDITIONS. RENTERS MUST ADHERE TO THE CONDITIONS OF VEHICLE USE TO DEEM THEM ELIGIBLE FOR INSURANCE COVERAGE, SHOULD RENTERS NOT MEET THE BELOW CONDITIONS OF VEHICLE USE, ALLIANZ IS NO LONGER LIABLE TO PROVIDE INSURANCE COVERAGE AND THE RENTER WILL BE CONSIDERED FULLY LIABLE FOR THE REPAIR OR REPLACEMENT OF THE DAMAGED VEHICLE AND SHOULD ACCEPT ANY CHARGES AND/OR PENALTIES THAT ARISE.

 

  1. Renters must be a minimum of 21 years of age;
  2. Renters must be under 65 years of age;
  3. Renters must have a valid driving license throughout the entire Rental Period;
  4. Vehicles should not, under any circumstances, be driven by anyone else other than the verified Renter;
  5. Renter are required to safely lock and remove keys when outside of the Vehicle;
  6. Renters must properly inspect and photograph the Vehicle clearly at Pick-Up;
  7. In the event of a major accident that constitutes as Theft, fire, or preemptively deemed a total loss and/or repairs might exceed EGP 20,000 a police report be filed.

 

  1. Vehicle Conditions:

OWNERS MUST MAKE SURE THAT THEIR VEHICLES ADHERE TO CERTAIN REQUIREMENTS AND CONDITIONS TO MAKE THEM ELIGIBLE FOR INSURANCE COVERAGE. SHOULD VEHICLES NOT MEET THE STATED VEHICLE CONDITIONS AND/OR THE DAMAGE/LOSS TO THE BOOKED VEHICLE HAS BEEN STATED IN THE VEHICLE EXCLUSIONS, ALLIANZ IS NO LONGER LIABLE TO PROVIDE INSURANCE COVERAGE. OWNERS ARE THEN CONSIDERED FULLY LIABLE FOR THE REPAIR OF A DAMAGED VEHICLE AND SHOULD ACCEPT ANY CHARGES AND/OR PENALTIES THAT ARISE.

 

  1. All Vehicles must have a valid Egyptian car license in accordance with all traffic act and other laws and regulations. Licenses cannot expire during the Rental Period;
  2. Owners must properly inspect and photograph the Vehicle clearly at Drop-Off indicating any apparent loss or damage that has occurred to their Vehicle during the Rental Period.

 

  1. EXCLUSIONS

 

  1. Exclusions to Vehicle Use:

Should a Vehicle be subject to damage or loss surrounding the below stated Exclusions to Vehicle Use or coverage limitations, the Renter will be considered fully liable for any and all loss or damages and should accept any legal and/or financial charges and/or Penalties that may arise. Allianz, in turn, will not be held liable to provide any Insurance Coverage that arises from said Claims.

 

  1. Any activity that violates Egyptian law, which includes anything from any and all parking or other traffic violations to robberies and other crimes;
  2. General negligence to the Vehicle such as leaving it unattended with the keys inside;
  3. Any accidental loss or damage caused to a third party’s property or vehicle.

 

  1. Coverage does not apply to the following geographical areas:
  2. Airport Aprons;
  3. Airport Taxiways;
  4. Airport Runways;
  5. Areas past security gates in terminal buildings;
  6. Accidents and or loss anywhere outside of the Arab Republic of Egypt.

 

 

Insurers will not extend coverage and Owners will bear full liability in the event that damage and/or loss occurred surrounds the below exclusions:

 

  • Vehicle Exclusions:
  1. Any personal belongings that are in the Vehicle at the time of the accident;
  2. Minor scratches and abrasions to the Vehicle;
  3. Any existing damage to the Vehicle prior to Pick-up of the Vehicle;
  4. Terrorist attacks;
  5. Revolutions, rebellions, and military coups.

 

  1. DEDUCTIBLES

Should the Vehicles meet the Vehicle Conditions and the damage or loss does not surround the Vehicle Exclusions, Renters will be deemed liable for Deductibles that would be required in the event of a successful Claim due to damage or loss to the Vehicle during the Rental Period. Owners may be required to pay the Deductible when receiving their Vehicle from the Approved Repair Center and will later receive reimbursement for it from the Renters through Dryve.

 

Deductibles are the maximum of EGP 10,000 of 10% of the total repair cost, in addition to all Special Terms, and are subject to changes from time to time at Dryve’s and Allianz’s discretion.

 

  1. SPECIAL TERMS

The following is a list of special terms surrounding Insurance Coverage as set by the Insurer in the Insurance Policy with regards to Vehicle repairs.

 

  1. Depending on the time elapsed/Vehicle’s age from its manufacturing year, Owners are subjected to the following additional fees, reference Exhibit B, should repairs be conducted at an agency or require original parts:

  1. Regardless of Vehicle make, model, and year, Renters must bear 25% of the total cost of an inflated airbag during a collision.

 

  • Bodywork repairs for rust, corrosion, and/or sandblasted windshields will require Renters to bear 50% of the cost to repair.

 

  1. Mechanical and electrical parts, suspension systems, exhaust system, rust and corrosion (glass, headlights, taillights, or paint) are subject to a depreciation cost borne by the Renter. Refer to Exhibit C for a breakdown.

  1. For Vehicles aged less than a year, Renters bear 25% of the cost to repair tires and batteries whereas Vehicles aged 2 years and above require that Owners bear 50% of the cost of tires and batteries.

 

  1. MISUSE POLICY

 

Renter will be considered fully liable for any loss or damages and should accept any legal and/or financial charges and/or Penalties that may arise as a result of any damages to the mechanical parts of the vehicle due to misuse of the Vehicle during the rental period as deemed by independent loss adjusters sent by Allianz.

 

Owners will be considered fully liable for any loss or damages and should accept any legal and/or financial charges and/or Penalties that may arise as a result of any damages to the Vehicle or its mechanical parts that was caused due to pre-existing mechanical issues or damages as deemed by the independent loss adjusters sent by Allianz.

 

  1. CLAIMS PROCESS

RENTERS AND OWNERS MUST TAKE AND UPLOAD CLEAR DISTINCT AND UNOBSTRUCTED PICTURES AT PICK-UP AND DROP-OFF FOR THE INSURANCE COVERAGE AND ANY RESPECTIVE CLAIMS FOR THE CLAIM FORM TO BE DEEMED VALID.

 

Both Owners and Renters must review and make sure that all inputted information is accurate prior to submitting their Claim Form. Said forms will be thoroughly examined. In the event that any information has been found to be stated with malicious and/or fraudulent intentions, the Claim will be deemed void and rejected.

 

  1. Renter Claims Process:

 

Renters are required to submit Claims for major damage that occurs to a Vehicle during the Rental Period through the App or via telephone to Dryve’s customer service center. Major damage is said to occur when the Vehicle is immobile and can no longer complete its Rental Period. Renters will be required to file and upload on the app a copy of the police report along with the Claim Form if the damage constitutes as Theft, fire, third-party liability, is preemptively deemed a total loss.

 

In the event of an accident and post the submission of a Claim Form by the Renter, the Renter assumes the responsibility of transferring the Vehicle to one of the Owners chosen Approved Repair Centers as stated on the App.

 

Renters must review and make sure that all inputted information is accurate prior to submitting their Claim. Administrative Fees may apply to submitted Claim Forms and are invoiced to the Owner.

 

  1. Owner Claims Process:

 

Owners can submit Claim Forms for damages to their Vehicle at Drop-off through the App. Owners are obliged to report any damages made to their Vehicle during the Rental Period at Drop-off by submitting a Claim through the App. Claim Forms are subject to time limits. Any Claim Forms filed after Drop-off or that are incomplete shall be deemed void and rejected by Allianz. Administrative Fees may apply to submitted Claim Forms.

 

Owners must review and make sure that all inputted information is accurate prior to submitting their Claim Form. Said forms will be thoroughly examined.

 

Owners hereby consent to the forgoing; in the event an accident occurs during the Rental Period and the Renters submits a Claim, Vehicles will be transferred directly to one of the Owner’s chosen Approved Repair Centers for repair; If Claims are submitted by the Owner during Drop-Off, the Owner assumes the responsibility of transferring the Vehicle to one of his chosen Approved Repair Centers.

 

In the event a Vehicle is still under loan through a bank, said bank is referred to as the beneficiary and all cheques will be sent to the bank unless the Owner provides us with an “objection letter” from their bank.

 

  1. Claims for Theft and Total Loss

 

Should a Renter submit a Claim during his/her trip declaring Theft, Owners understand that investigations regarding stolen Vehicles may last up to 6 months. The Insurer will send out a total loss letter pertaining the amount Owners are expected to receive subject to their loss adjusters. Owners will need to sign the total loss letter and submit all of the following documents to the Insurer prior to the start of the investigation period:

  1. The original police report of the investigation from the police station overseeing the area where the Theft occurred;
  2. Prosecution Report;
  • A letter from the security directorate initiating the search for the stolen Vehicle.

 

Post the investigation period and prior to the receival of their cheque, Owners will need to submit the following documents to the Insurer:

  1. A letter of the cancellation of the search at the end of the investigation period;
  2. Transfer of the Vehicle’s ownership to the Insurer;
  • Original Vehicle registration;
  1. Renter’s driving license;
  2. Original traffic violations certificate;
  3. The Vehicle’s spare keys.

 

Vehicles proclaimed, by the Insurer, to be in a state of total loss will necessitate that their respective Owners sign the total loss letter sent out by the Insurer, remunerate the workshop with the total loss estimation fees – and if required parking fees – and delegate the Insurer to tow the car to their store. Owners will also need to submit all of the following documents to the Insurer:

  1. Transfer of the Vehicle’s ownership to the Insurer;
  2. Original Vehicle registration;
  • The original police report;
  1. The Vehicle’s spare keys;
  2. Original traffic violations certificate.

Transferring the Vehicle ownership to the Insurer mandates that the official sale contract, and the official certificate of statements, must be executed in, and directed to the land registry.

This policy outlines how we gather, use, process, manage, disclose, and store your information that is collected through our Platform  and communicated with us or other Users. This Privacy Policy applies to all Users in Egypt who make use of Dryve’s Services. Dryve may be required to change this policy from time to time. Users will be duly notified of such changes.

 

  1. INFORMATION COLLECTED

 

We collect your information for the sake of providing a personalized and efficient Service. This information is also used to communicate directly with you. Dryve collects data from Users directly through the App and/or Website. The information gathered can be categorized as follows:

 

  1. Contact and Personal Information

 

Users, throughout their registration process provide us with information about themselves. This includes their names, date of birth, address, e-mail addresses, phone numbers, national identification, driving license number, photographs, documents relating to Personal Insurance Coverage and other information Dryve might require of applicants from time to time to set up a User account.

 

User’s data is consensually provided to Dryve. Relevant information cannot be obtained otherwise. The mechanisms of consent are provided in clear language. By accepting the Terms, Users are thereby deemed to have consented to the Privacy Policy.

 

  1. Payment Information

 

Additional payment related information may be collect from Users in order to provide you with and accept payment for the Services. This information is stored with third party payment providers or digital payment companies, like Fawry and Accept. As a merchant to the Dryve account, Dryve cannot access this information. You hereby authorize Dryve to uses this information in connection with potential or actual transactions. For your protection and to decrease the risk of security fraud, we urge that you do not give your card information to any third party or via any other method than that currently available on the App. Where we request that you withhold certain identifiable information from us, like obscuring certain digits in your payment card number, please do so.

 

  • Trip and Ryde History

 

Dryve collects information on published, Booked, and Requested Vehicles such as the information found in the Dryve Rental Form, reviews and uploaded pictures. Dryve may also use cookie settings to pick up on User usage data. If Users correspond with Dryve via e-mail, Dryve may retain the content of the e-mail.

 

  1. Social Media

 

When Users log in or interact with us through various social media pages, Dryve may receive information from the social network regarding your profile information and details. Your privacy settings on the social network determines the data we receive. Users are advised to review their privacy settings on any social network prior to linking with Dryve.

 

All of the data requested by Dryve is necessary for the performance of its Services. No superfluous or unnecessary information will be requested or collected.

 

Users must ensure that the data provided by him/her is accurate and current. Dryve bears no responsibility for inaccurate, falsified, or outdated information provided by Users. Users have the discretion to edit, alter, and update the information he/she have provided us.

 

 

  1. DATA STORAGE AND USAGE

 

Dryve modifies, uses, shares, stores, and processes User information for the purpose of providing and improving our Services and to better connect with us and other Users. Identifiable information is collected to verify and authenticate information provided on Users and Vehicles. This enables Dryve to ensure a secure and safe experience for all Users alike with minimum risk of fraud, accidents, harm, or illegal activity.

 

Dryve may modify information provided by Users if we believe that the data is incorrect and/or incomplete. Dryve is not liable for any errors in data modification or any incorrect and/or incomplete User information. It is the User’s sole responsibility to ensure that all his/her data are correct, complete and updated.

 

Dryve may share User’s personal data with other Users as is necessary for the conducting of its business and the providing of its services.

 

Dryve may share User’s personal data with relevant related service provides such as Allianz. Dryve may provide Allianz any necessary information- including your contact information, Vehicle information and identification, and personal identification- if such information or data is necessary to initiate Insurance Coverage and to proceed with Claims. By agreeing to these Terms and Conditions, Users give Dryve the right to share data with third parties.

 

Dryve may share Users’ data with vendors, consultants, marketing and advertising partners, and other service providers who need access to such data to carry out work on Dryve’s behalf or to perform any contract we enter into with them. The data may also be shared with third parties in connection with, or during negotiations of, sale of company assets, a merger, consolidation, restructuring, financing, or acquisition of all or a portion of our business by another company.

 

Dryve reserves the right to share data when requested to do so by a competent authority, should such sharing be necessary in conformity with relevant laws and regulations. This includes sharing data with law enforcement and national security agencies in the interests of public safety, or for an investigation into a breach or crime directly concerning Dryve, e.g. an assault or robbery committed by a User. 

 

Data is stored on the Cloud, subject to the laws of the United States of America. By agreeing to let Dryve collect and store data, Users consent to having said data be subject to the laws of that jurisdiction. Dryve pledges that it shall take all necessary steps, such as encryption, in accordance with the highest standards of technical quality and diligence, to protect the data provided by its Users.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE ACCESSING OR USING THE APP OR WEBSITE AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. THESE TERMS SHOULD BE READ AND ACCEPTED IN CONJUCTION WITH THE SUPPLEMENTAL TERMS WHICH TOGETHER CONSTITUTE A SINGLE SET OF TERMS AND CONDITIONS FOR THE USE OF THE DRYVE PLATFORM, APP AND/OR WEBSITE.

 

  1. KEY TERMS AND DEFINITIONS

 

  1. The definitions and rules of interpretation in this clause apply to all provisions of the Terms and Conditions and Supplemental Terms (together the “Terms”): 

 

  1. “Accept” refers to Accept, a subsidiary of PayMob, with the web-address of: https://www.weaccept.com. Accept is an omnichannel gateway for payment services. Cash exchanges are conducted through Aman, Masary, and any other payment affiliate the Accept uses from time to time. The firm currently conducts Dryve’s e-payment facilitation of all Charges;

 

  1. “Accommodation Fee” refers to the added Service, accounted for in Additional Ryde Charges and in total Ryde Charges, payable by Ryders to Dryvers as a form of compensation for Overnight Stay during Travel Rydes. Accommodation Fees vary depending on the city or governate;

 

  1. “Additional Ryde Charges” refers to any expense in addition to Ryde Charges with relation to a specific Ryde and the parameters of its Request. Additional Ryde Charges can be Accommodation Fees, Surplus Mileage fees, Overtime fees, cancellation fees, Penalties or any other expenses Dryve levies for added Services;

 

  1. “Allianz” refers to Allianz Insurance Company- Egypt with the web address: https://www.allianz.com.eg/en_GB.html. Allianz Egypt is a subsidiary of Allianz SE with headquarters in Munich. Allianz is interchangeably referred to as the Insurer with reference to the partnership with Dryve as detailed in the Insurance Policy Terms;

 

  1. “App” refers to both the Dryve and Ryde applications, the medium by which Dryve offers its Services to Users. App may be used interchangeably to refer to applications and/or the Dryve Platform;

 

  1. “Booking” refers to the arrangement conducted and agreed to by a Renter and an Owner in relation to the rental of a Vehicle in accordance with the provisions of these Terms and as stated in the Dryve Model Rental Agreement;

 

  1. “Car” refers to the Cars listed by Owners and/or Dryvers on the App pending both verification by Dryve and the selection of rental preferences made by the Owner and/or Dryver;

 

  1. “Claim” refers to a formal request sent by Users and/or Dryve to the Insurer for the Insurance Coverage to take effect for compensation for a Covered loss or damage to a Vehicle;

 

  1. “Contact Information” means the definition given in Clause B.2. The collection and use of such is as stated in the Privacy Policy;

 

  1. “Daily Rate” refers to the monetary amount Owners set for the rental of their Vehicle for one day. A Vehicle’s Market Value is a direct factor for its Daily Rate. Owners select their preferred Daily price from a scale based on the Vehicle’s Market Value;

 

  1. “Deductible” is the first loss payment and is the amount of money required by the Insurer to be paid by the Renter under Insurance Coverage in the event a Claim has been approved;

 

  1. “Disciplinary Action” refers to the actions taken by the Dryve team in response to misuse and general dismissive behaviour among Users. The actions leading to and the Disciplinary Actions taken are outline in Exhibit A and B;

 

  1. “Driving Experience” refers to past chauffeuring experiences attained through limousine companies or independently. Users are required to submit documents certifying past chauffeuring experience to successfully register as Dryvers;

 

  1. “Drop-off” refers to the agreed upon date, time, and location whereby both Users meet, diligently inspect the Vehicle, complete the Drop-off Inspection Form, and the Renter hands back over the Vehicle to the Owner, marking the end of the Rental Period;

 

  1. “Drop-off Charges” refers to the additional charges incurred by the Renter throughout the Trip. Drop-off Charges encompass excess mileage fees, unfilled fuel, late fees, Penalties, Deductibles, and or Personal Insurance Fees in the event of a Claim;

 

  1. “Dryve Agreement” refers to the agreement concluded between Dryve and the Renter governing the relation between them whereby Dryve approves the registration of the Renter’s on the App against the Renter’s fulfillment of his/her obligation thereunder;

 

  1. “Dryve Commission” means, in relation to a Booking, the sum equivalent to Service Fees less the insurance premium;

 

  1. “Dryve Model Rental Agreement” means the model required to be used by the Owner and the Renter representing all Booking information as displayed on the App and/or email;

 

  1. “Dryver” refers to any User who has filled in all mandatory fields in the Dryver’s registration form on the App in a manner that is both accurate and valid, has successfully listed a Vehicle, and stated past Driving Experiences and preferences as detailed in the Dryver Supplemental Terms;

 

  1. “Fawry” means Fawry Banking and Payment Technology Services with website address: www.fawry.com. The electronic bill payment and presentment firm currently conducts Dryve’s e-payment facilitation of all Charges;

 

  1. “Insurance Coverage” refers to the conditions and exclusions of cover, and the type and amount of financial coverage for insured Vehicles provided by Allianz and as detailed in the Insurance Policy Terms. Owners that opt for Insurance Coverage have their Vehicles covered only during the Rental Period. Insurance Coverage is used interchangeably with Coverage;

 

  1. “Insurance Fee” refers to both the monetary premium payable by the relevant Renter and the relevant Owner, embedded in the payment of Service Fees, for Insurance Coverage of the relevant Vehicle for the relevant Rental Period, and any Deductibles payable to Allianz in the event of an accident and/or Claim;

 

  1. “Insurance Policy” refers to the policy provided by Allianz and arranged through Dryve. The Insurance Policy states the relationship between the Insurer, Allianz, and the Policy Holder, Dryve, as well the Insurance Fees and Claims process. A summary of the Insurance Policy Terms is set out HERE;

 

  1. “Insurer” refers to Allianz with reference to the partnership with Dryve as detailed in the Insurance Policy Terms;

 

  1. “Market Value” means the market value of Vehicles on Dryve calculated at the time of publishing using an integrated Contact Cars API. The Market Value is determined by the Vehicle’s make, model, year, and mileage, and is determined using its average price on the Contact Cars website over 6 months prior to the listing date;

 

  1. “Other Additional Charges” refers to any other Charges incurred throughout the Rental Period other than Rental Charges. This includes Penalties and Administrative Fees. This may either increase the total cost required from the Renter and / or reduce the total amounts due to Owner;

 

  1. “Owner” refers to any applicant who has filled in all mandatory fields in the Owner’s registration form on the App and has successfully listed a verified Vehicle as detailed in the Owner Supplemental Terms;

 

  1. “Overtime” refers to the hours driven in excess past the agreed upon time for the end of the Ryde. For Rydes with Overtime, Dryvers are given the option to apply for an Overtime fee payable by the Ryder and charged through Dryve;

 

  1. “Penalty” refers to any monetary fine that may be applied to a User during the Rental Period. Compensation and/or reimbursement shall be deducted by Dryve in favor of the advantaged User and/or Dryve, from the disadvantaged User;

 

  1. “Personal Insurance” refers to motor insurance policy sourced by the Owner and provided by an insurance firm separate from both Dryve and the Insurance Policy, which covers their Vehicle during a Dryve Trip. Owners that opt to use their Personal Insurance are not covered by Allianz throughout the Rental Period;
  2. “Pick-up” refers to the agreed upon date, time, and location whereby both Users meet, diligently inspect the Vehicle, complete the Pick-up Inspection Form, and the Owner hands over the Vehicle to the Renter, marking the beginning of the Rental Period;

 

  1. “Platform” refers to all the mediums which Dryve Holdings Limited BVI, Dryve Egypt LLC and, or any of their affiliates offers its Services to Users. Mediums include the Dryve application, Ryde application, and the Website. Platform may be used interchangeably with App, website, and/or site;

 

  1. “Policy Holder” refers to Dryve with reference to its role in the Insurance Policy provided by AXA as detailed in the Insurance Policy Terms;

 

  1. “Rental Agreement” refers to the agreement to be concluded between the Owner and the Renter, at the time of Pick-up in the form as provided by Dryve and available for printing and use on the App, to govern the rental of the Owner’s Vehicle to the Renter;

 

  1. “Rental Charges” refers to the charges payable by a Renter to the relevant Owner for the use of his/her Vehicle during an agreed upon Rental Period. Rental Charge is the addition of the Daily Rate set by Owners for the number of days that make up the Rental Period and the Maintenance Fee;

 

  1. “Rental Period” means the period whereby the Owner’s Vehicle is in the Renter’s possession while he is on a Trip. The period starts from Pick-Up and ends at Drop-off, or in the event of an Accident when the Renter has successfully delivered the Vehicle to an Approved Service Center for repair;

 

  1. “Renter” refers to any User who has successfully completed and passed the Renter Registration Process, as outlined in the Renter Supplemental Terms, enabling them to rent out Vehicles from Owners;

 

  1. “Ryde” refers to the agreed upon period whereby Dryvers offer their Vehicle and driving services to Ryders in accordance with the provision of these Terms. The period marked with the Ryde Start and ends at Ryde Ends. Ryde is used interchangeably with Ryde Period;

 

  1. “Ryde Charges” refers to the charges payable by a Ryder to the relevant Dryver for the employment of both their Vehicle and driving services. Ryde Charges also includes any Additional Ryde Charges. Ryde Charges is used interchangeably with Charges;

 

  1. “Ryde Requests” refers to the parameters and criteria set by Ryders, and published in applicable Dryver Feeds, regarding potential Travel or Scheduled Rydes. Ryde Requests is used interchangeably with Requests;

 

  1. “Ryder” refers to any User who has successfully completed and passed the Ryder Registration Process, as outlined in the Ryder Supplemental Terms, enabling them to Request Vehicles with their respective Dryvers;

 

  1. “Services” refers to your access and use of the Dryve Platform and all its offered utilities as stated in Clause B.3;

 

  1. “Service Fees” Total;

 

  1. “Surplus Mileage Fee” refers to the kilometers consumed in excess of the 20 km per hour limit for a specific Ryde day. Ryders may be subjected to a Surplus Mileage Fee should their Ryde be found to have exceeded the limit;

 

  1. “Total Charges” means the definition given in Clause B.6;

 

  1. “User” refers to any person who has an active account on the App. This term is used to refer to Dryvers, Owners, Renters, and Ryders interchangeably;

 

  1. “VAT” means Value Added Tax and is calculated as 14% of Dryve Commission and is deducted from all Users on a pro-rate basis on behalf of tax authorities;

 

  1. “Vehicle” refers to any Car listed by its Owner and/or Dryver and published by Dryve on the App for Renters and Ryders to rent;

 

  1. “Website” means the site or website at getdryve.comwww.letsdryve.comand www.dryve.ae as amended and updated from time to time.

 

  1. Where the expression “including” is used, this is to be construed as being immediately followed by the expression “without limitation”. 

 

  1. Definitions include the singular/plural term. 

 

 

  1. RELATIONSHIP

 

The Terms are the terms of use that govern your access and use of the Platform, content, and Services as made available by Dryve Holdings Limited BVI, Dryve Egypt LLC and, or any of their affiliates (“Dryve”, “we”, “us”, or “our”) either through the downloading of the App or the accessing of the Website. Users accessing the App shall be subject to specific provisions under the Supplemental Terms governing their relationship with Dryve and/or respectively a Dryver, Owner, Ryder, or Renter depending on their status at the time.

 

Your access to and use of the Services, and/or acceptance of our Terms shall constitute your agreement to be bound thereby. Such acceptance shall constitute your conclusion of a service agreement with Dryve. Supplemental Terms shall apply and will be disclosed to you in connection with the applicable Services. Supplemental Terms complement and form a part of the Terms for the purposes of the applicable Services. Supplemental Terms shall prevail in the event of a conflict with respect to the applicable Services. If you do not agree with our Terms, you should stop using our App or Website immediately.

 

All of the provisions in the Terms, together with Supplemental Terms, Insurance Policy, Privacy Policy, and any other incorporated agreements constitute the terms of the agreement between you and Dryve.

 

Dryve may amend the Terms related to the Services from time to time. Amendments will be effective immediately upon Dryve’s posting of such updated Terms or Supplemental Terms either through the App, Website or by email. Your uninterrupted access or use of the Services after such posting shall be deemed an implicit consent on your side to be bound by the Terms and/or Supplemental Terms, as amended.

 

  1. DATA PRIVACY

 

You understand that by accessing and using our Services that you are consenting to the collection and use of your personally identifiable information. The collection and use of such information in connection with the Service is as provided in Dryve’s Privacy Policy.

 

  1. REGISTRATION

 

Individuals wishing to access the App and use the Services must first register as a User. Registering as a User includes signing up for an account using a functional, accessible email address, and a working, accessible mobile number (“Contact Information”.) Dryve Rental Forms, invoices, notifications, and other important information will be sent to Users’ registered email addresses. Verification codes, Accept one-time passwords (“OTP”), any other important information will be sent to Users via SMS to their registered mobile number.

 

By registering using their respective Contact Information, Users hereby validate that such Contact Information, is functional, accessible and belongs to them. Dryve will not be held responsible for your failure to access or regularly check emails, SMSs and notifications sent to you. Users are entirely liable over the privacy as well as the ability and frequency to access their emails and mobile phone numbers.

 

Users may register as a Dryver, Owner, Renter, and/or Ryder under the Supplemental Terms relevant to each.  You may have only a maximum of one account as active and valid under each User type.

 

Dryve will require that Users submit personal and identifiable information about themselves and their Cars to further verify User accounts and their respective Cars. The collection and use of such is as stated in Dryve’s Privacy Policy. Dryve may, during the registration process, conduct searches on Users and their Cars in order to corroborate the information submitted. Dryve reserves the right to reject any attempt to register as a User in the event that Dryve has reasonable belief that the applicant does not comply with the stated Terms and Supplemental Terms.

 

  1. SERVICES

 

Dryve offers a technological Platform that enables Users of the App to list and rent Vehicles and/or their driving services directly with one another subject to these Terms. Dryve is not a rental car company. We do not own Vehicles nor are we in the business of renting Cars to the public. Dryve does not sell, hire, manage, and/or control the Cars, nor do we provide insurance services. Unless otherwise explicitly specified, Dryve’s responsibilities are limited to: (i) Enabling and governing the availability of the Platform, App, and Services; (ii) facilitating the listing, Booking, and Ryde Requests of both Vehicles and Vehicles chauffeured by Dryvers; (iii) serving as the limited payment collection agent by accepting payments from Dryvers on behalf of Owners and from Ryders on behalf of Dryvers, and (v) arranging for Insurance Coverage, through Allianz, for Vehicles rented out via the App.

 

In tandem with peer-to-peer car sharing, the Platform, under the Ryde App enables Users who seek to arrange and schedule transportation for a prespecified period of time or to certain destinations (“Ryders”) can do so by sending out Requests for Rydes. Requests appear in a Feed to Users that have registered both themselves and their Vehicles (“Dryvers”) and offer Rydes to Ryders. Dryvers are third party, independent transportation providers. The decision to offer or accept a Ryde is done at both Users’ discretion with the Ryde itself constituting as separate agreement between them.

 

YOU HEREBY ACKNOWLEDGE THAT RYDES ARE PROVIDED BY INDEPENDENT THRID PARTY CONTRACTORS WHO ARE NOT EMPLOYED BY DRYVE. DRYVE IS MERELY A MARKET PLACE CONNECTING RYDERS AND DRYVERS AND DOES NOT PROVIDE TRANSPORTATION SERVICES NOR OPERATES AS A TRANSPORTATION SERVICES. DRYVE IS NEITHER A COMMON CARRIER NOR A PUBLIC CARRIER.

 

It is at the discretion the Dryver to decide whether or not to offer Rydes to a Ryder contacted through the App, as it is up to the Ryder to decide whether or not to accept a Ryde by a Dryver contacted through the App. Dryve cannot ensure the confirmation by a Ryder nor the completion of an arranged Ryde by the Dryver and/or Ryder.

 

Users might agree to let the Dryve algorithm match them on their behalf. In said case, Users hereby authorize an algorithm created by Dryve to match them based on factors such as Vehicle type, User preferences, and Platform efficiency, and to allow the system to cancel and rematch an existing match based on the aforementioned considerations.

 

Dryve, subject to your compliance with these Terms, offers a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to: (i) access the App from your personal device and use it solely in connection with your use of the Service; (ii) use any content, material, and/or information solely for your personal, non-commercial use. Rights neither expressed nor granted herein are solely reserved by Dryve.

 

  1. INSURANCE

 

Dryve is neither an insurance company nor an insurance broker and shall not be held liable to compensate any cases of breach of trust, damages or theft of the Booked Vehicle. Dryve does not directly or indirectly insure Vehicles rented through the App. Dryve, is named a Policy Holder on the Insurance Policy and is not a direct Insurer. If you choose to receive protection under this policy, your Coverage is provided by Dryve’s insurance partner, Allianz. Dryve only acts as an intermediary offering such insurance products to Users of the Dryve App.

 

Under the Dryve App, Car Owners can benefit from Insurance Coverage under the Insurance Policy provided by Allianz or opt to use their Personal Insurance to cover their Vehicles during Dryve Trips.

 

For Car Owners with Vehicles listed under Insurance Coverage, Dryve has arranged for comprehensive insurance from Allianz to cover Vehicles during the Rental Period. Insurance Coverage will initiate at Pick-up and cease at Drop-off. Insurance Coverage is optional for Users of the Dryve App. Insurance covers Vehicles with manufacturing dates that do not exceed 10 years. In case of a successful Claim, Vehicles are required to be repaired at an Approved Repair Center. The Insurer shall cover certain risks as detailed in the Insurance Policy Terms.

 

To the best of Dryve’s knowledge, all published Vehicles under Personal Insurance are insured by an insurance provider, independent from Dryve, and the Insurance Policy, Covering Vehicles during Dryve Trips. By opting for Personal Insurance Coverage and accepting these terms, Owners guarantee that published Vehicles on the Platform possess fully comprehensive insurance that covers Users throughout a Dryve Trip and that any Accidents that occur during a Dryve Rrip will be covered as per the Owner’s Personal Insurance policy. Under Personal Insurance, Owners acknowledge that all risks, damages, and losses that arise during a Dryve Trip are borne the Owner and/or their respective insurance provider.

 

  1. SCOPE OF APP USAGE

 

Dryve hereby grants Users a non-exclusive, non-transferrable and revocable right and license, subject to Dryve’s Terms and Supplemental Terms, to: (i) access and use the App and its Services through creating a personal account approved by Dryve; (ii) request the listing of Cars; (iii) request the rental of a Vehicle or a chauffeured Vehicle; (v) provide and/or receive payment for the Booking and/or Ryde Request and any Other Additional Charges and Additional Ryde Services.

 

Dryve retains the ownership of the App and Website and all content included therein. Your use of the App and Website is limited to the license granted above.

 

In connection to your use of or access to the Services, you hereby agree that you will comply with all applicable laws and these Terms and Supplemental Terms. You agree that you will not attempt, nor advocate, encourage, or assist any third party to:

 

  1. Violate any Law

You agree that you will not (i) breach any local, provincial/territorial, or national Law; (ii) use the App and its content in any form for illegal purposes or in an illegal manner (iii) Post false and/or defamatory content; (iv) use the App in a commercial manner by publishing or transmitting its content; (v) remove or attempt to use any of Dryve’s trademarks, copyrights, propriety rights, or any other intellectual property rights, registered or unregistered; (vi) distribute, sell, sublicense or transfer any of the rights granted under the Terms; and (vii) attempt to gain unauthorized access to the App, Website, software, servers or any other networks connected to the App and Website.

 

  1. Register False Information

This includes (i) submitting false information including but not limited to your name, national ID, date of birth, driver’s license, Vehicle’s license, or other personal information; (ii) submitting false Insurance Policies; (iii) submitting false Claim Forms, (iv) impersonating any person or entity; (v) publishing Vehicle availability information that you do not intend to honor; and (vi) assigning or transferring your account to any other User, person, or entity.

 

  • Fail to Honor Your Commitments

This includes (i) failure to meet payments; (ii) failure to follow through with User procedures and guidelines of a Booking and Ryde Requests as outlined in the Supplemental Terms; and (iii) use of the Services provided by Dryve to find an Owner or a Dryver, and then complete the Booking/Request and transaction wholly or partially independent of Dryve in order to bypass paying Service Fees or for any other reason; (iv) failure to return the Vehicle to the Owner as per the terms and conditions of the Rental Agreement; and (v) breach of your obligations under the Dryve Agreement.

 

  1. Harm Other Users

You agree not to (i) use other User information to harass or stalk; (ii) engage in abusive or threatening conduct- physical or verbal; and (iii) distribute or post any information regarding other Users without their permission.

 

  1. Impair Operations:

You agree to not (i) impair operations of the App or other Dryve software or servers and the networks connecting it; (ii) distribute unsolicited or bulk electronic communication like spam messages; (iii) distribute viruses or other harmful codes; (iv) methodically retrieve data or other content from our Services to create a collection or database; (v) remove, deactivate, or tamper with technological measure set forth by Dryve to protect the Services; and (vi) reverse engineer any of the software used to provide Services.

 

You may not authorize a third-party to use your account. You hereby acknowledge responsibility for your account and any activities or transactions under your account and you agree to maintain the secrecy of your information on the account including your username and password for its access. You understand and acknowledge that in the event of allowing other individuals to use your credentials to list Cars on the App or Website, or to make Bookings and Requests, you will be held solely liable for any damages or liabilities arising out of such use caused to yourselves, other Users or Dryve without prejudice to their right to invoke legal action or proceedings against you and the other User to the full extent permissible under Egyptian law. Further, you agree to comply with all applicable laws when using the Services and may only use the Services for lawful purposes.

 

With respect to the use of the Dryve Platform and participation in Rydes, Users agree to not:

 

  1. Imitate or impersonate any person or entity;
  2. Harm or harass any person by stalking, threatening, or carrying a weapon throughout the Ryde Period;
  • Violate any law or set regulation;
  1. Disrupt or interfere with a Dryve server or networks connected to the Platform;
  2. Submit false or fraudulent registration documents or interact with Users on the App and during a Ryde in an abusive, defamatory, obscene, profane, sexually oriented, harassing, or illegal manner;
  3. Infringe any third-party rights, proprietary rights, or rights of publicity or privacy;
  • Transmit or post any malicious code, files, programs with the intent of interrupting, damaging, destroying, or limiting the functionality of the Platform.
  • Intercept or expropriate any system, data, or information through a computer software, hardware, or telecommunications equipment.
  1. Disguise the origin of information sent to the Dryve Platform by forging headers or otherwise manipulating identifiers.
  2. Without our prior consent and written authorization, mirror any part of the Platform or use meta tags or code or other devises containing any reference to Dryve on order to direct any person to any other web site for any purpose;
  3. Modify, adapt, translate, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Platform;
  • Sublicense the Platform or rent, lease, lend, sell, redistribute, license the Platform or any portion of it;
  • Process, retrieve, or data mine through the use of any robot, spider, site search, retrieval application, or any other manual or automatic device.
  • Circumvent the presentation or the navigational structure of the Platform and or its contents;
  1. Transfer or sell your account, password, and/or information or that of any User to a third-party;
  • Discriminate and harass Users on the basis of race, nationality, religion, physical or mental disability.

 

 

  1. PRICING AND PAYMENT ADMINISTRATION

 

The Dryve App has six Vehicle categories; “dryve Y”, “dryve Direct”, “dryve Red”, “dryve Silver” “dryve Black”, and “dryve io”. The Ryde App has three Vehicle Categories “Economy”, “Standard”, and “Luxury”. The Market Value of a Vehicle will determine which category the Vehicle falls under and in turn what the Vehicle’s Rental Charge range is. Owners and Dryvers will have the ability to set and revise, within said range, the Rental and Ryde Charges they determine for their Vehicle. Vehicles are subject to movement between categories depending on the likely decrease their Vehicle’s Market Value over time. This too will modify the Rental and/or Ryde Charges and Service Fees.

 

You agree and understand that your use of the Services provided via the App or Website may result in Rental Charges for the Vehicles provided, Ryde Charges for the Rydes provided, Insurance Fees and Personal Insurance Fees for the any damage that might occur during the Rental Period or Ryde, Service Fees, and any Other Additional Charges. Dryve shall be responsible for facilitating the payment of the Rental Charges and any applicable Penalties, net of the Service Fees, from the Renter to the designated Owner. Dryve shall act as an intermediary and will facilitate the payment of the Ryde Charges and any applicable Penalties, net of the Service Fees, from the Ryder to the designated Dryver. Dryve will bear the responsibility of facilitating the payment of Insurance Fees from Users to Allianz.

 

Dryve shall act as an intermediary and facilitate payment from the Renter and Ryder to the designated Owner and Dryver. Dryve’s liability to pay amounts to the Owner and Dryver shall be limited to amounts paid by the Renter and Ryder received by Dryve through Accept or any of the other the payment systems made available on the App.

 

Payments to Dryve shall be deemed a direct payment from a Renter or Ryder in relation to an agreed Booking or Ryde Request, net of Service Fees and other Charges. These Charges shall be inclusive of any applicable taxes where required by law and deemed as a final and non-refundable payment, unless otherwise determined by Dryve or required by Consumer Protection Laws. Users shall receive a confirmation notification with an invoice of all payments made via email and on the App.

 

The App supports payment methods in the form of cash and credit card through Fawry and Accept along with any of their payment affiliates. Users will be asked to put in their credit card information once upon registering. Users are given the option to add multiple credit or debit cards. For your protection and to decrease the risk of security fraud, we urge that you do not give your card information to any third party or via any other method than that currently available on the App. Dryve bears no liability in said eventuality. Payment methods are not fixed, and Users have the flexibility to switch between one or the other. Sensitive data such as User card information is stored with the payment provider, Accept or Fawry. As a merchant to the Dryve and Accept account and the Dryve and Fawry account, Dryve has no access to this information.

 

Once a Booking and/or Request is accepted, Renter and Ryder payment is charged. Both are committed to paying the full amount in their balance. You will not be able to make a Booking or Ryde Request nor start a Trip or Ryde unless all outstanding balances, from previous and upcoming trips, have been completely paid off. In case of cancellations, refunds may take up to 14 Working Days and depend on your bank. Payments are transferred to the Owner once Pick-up has been completed successfully and to the Dryver at the end of every Ryde or Ryde Day. Holding periods span from mere hours to days depending on the length of time between confirmed Bookings and Requests and successful pick-up or the start of a Ryde. Funds are released and transferred to User accounts within 3 business days but may take longer depending on your bank.

 

I hereby agree and understand that, within reason, Charges including but not limited to cancellations, Deductibles, Personal Insurance Fees, Drop-off Charges, Additional Ryde Charges, and necessary compensation and reimbursements to affected parties may result in my card being charged post Drop-off or the end of a Ryde. Dryve holds the right to charge your card on file for the cost. Users will need to make sure that their card has adequate funds available to cover any and all Drop-off Charges and/ or Additional Ryde Charges.

 

Dryve may collect User information to process payments through Fawry and/or Accept or any of our payment service providers via a secured network. The collection and use of such information is as outline in Dryve’s Privacy Policy. User payment methods, channels, and timelines are outlined in their respective Supplemental Terms. Any refunds will be processed through the original mode of payment. Payment must be made through the payment channels made available by Dryve. Any offer to pay through any channel other than those provided by Dryve will be considered a breach of the Terms and Supplemental Terms and may result in the suspension or deletion of the User’s account.

 

  1. TERMINATION

 

You may terminate your Dryve account by submitting such termination request by email or in writing to Dryve.

 

You agree that Dryve may, without prior notice, immediately terminate, limit your access to or suspend your Dryve account for reasons including but not limited to: (a) breach or violation of the Terms and/or Supplemental Terms, Privacy Policy, or other incorporated agreements, and (b) engagement by you in fraudulent or illegal activities; and/or nonpayment of any fees owed to Dryve, Dryvers, and/or Owners.

 

Termination of your Dryve account shall be at Dryve’s sole discretion and shall include ceasing to offer Services or any portion thereof, denying you access to your account, and the deletion thereof.

 

  1. LIMITATION OF LIABILITY

 

DRYVE, ITS EMPLOYEES, DIRECTORS, AGENTS, AFFILIATES, OR REPRESENTATIVES SHALL BE HELD LIABLE ONLY FOR ANY DIRECT DAMAGES IDENTIFIED UNDER EGYPTIAN LAW ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR APP OR SERVICES. 

 

The following disclaimers have been made on behalf of Dryve, our parent, subsidiaries, affiliates, and each of our respective shareholders, officers, directors, employees, and agents.

 

You hereby agree that the use of the Services, specifically the renting of, the rental of Vehicles, and the Request for a Ryde, may carry inherent risk, and by accessing and requesting the Services through our App, you choose to assume those risks voluntarily. Those risks include, but are not limited to, bodily injury, loss or damage to Vehicles or property, or penalties and sanctions accrued due to driving conduct and breach of the applicable driving rules and Egyptian laws. The Dryver assumes full responsibility for any damage, direct or indirect, arising out of his use of the Services, specifically rental, and use of the designated Vehicle. Further, you declare and acknowledge your full responsibility of any damage or losses arising out of your use of the Services and that you shall be solely held accountable for all responsibilities, liabilities, or claims resulting from the use of the App and Services during the Rental and Ryde Period.

 

Dryve cannot warrant that each Ryder and Dryver are who he or she claim to be. Users are expected to exercise common sense when using the App and during Rydes. This includes the making sure that both the individual and Vehicle you have matched with for a Ryde Request is who they are in person prior to the start of the Ryde. Please note that the risk of dealing with someone acting under false pretenses exists and Dryve does not accept responsibility or liability for their actions in violation of this agreement. Dryve encourages both the Dryver and Ryder to communicate prior to the start of the Ryde.

 

Users undertake sole responsible when interacting with one another. Dryve bears no responsibility for the conduct of any User, whether online or offline, of the App or Services. Personal belongings left in a Vehicle during a Trip or Ryde are not insured by Dryve nor have we procured insurance for or are responsible for their loss or damage. By using the App and engaging in Trips and Rydes, you agree to bear such risks and agree that Dryve is not responsible for the acts or omission of Users on the Platform.

 

You must notify Dryve immediately should you suspect that your account has faced a breach in security or that any unauthorized party may be using your account. The responsibility for the use of your account falls on you. Dryve disclaims any liability that may arise from the unauthorized use of your account.

 

Dryve urges that you carefully select the type of information you choose to disclose to other Users on the App or during a Ryde. Should a User obtain information about you that you have provided to harm or harass you, Dryve bears no responsibility in said event and disclaims all liability, regardless of the form of action.

 

Dryve under no circumstances is responsible for any loss or damage resulting from your reliance on any information, opinions, advice, statements, and offers published by third parties on the Platform. Dryve bears no obligation but reserves the right, to monitor the material posted on the Dryve Platform and remove any such material deemed by Dryve to violate or alleged to violate the Terms of this agreement, is offensive, illegal, and/or might potentially harm Users on the Platform.

 

The App provides location data to be used for basic location purposes only. Information that Users provide in the form of geolocation data may be accessible to Dryve and certain Dryve Users for a specific period.

 

Dryve’s established liability in any dispute may not exceed EGP 100,000 (One Hundred Thousand Egyptian Pounds only).

 

  1. INDEMNITY

 

Dryve acts as a facilitator and does not act as an agent on your behalf. Dryve shall use its best efforts to make sure that Owners, Dryvers, Renters, Ryders and Vehicles fulfill certain requirements, set at the discretion of Dryve, before they become part of the network, and that they are selected based on criteria that would facilitate making an informed decision about potential Bookings and Requests.

 

  1. SEVERABILITY

 

In case any part of the Terms is deemed invalid, null or unenforceable, in whole or in part, for any reason, all remaining parts shall continue in force and effect. These Terms constitute the entire agreement and understanding of the parties (Dryve, the Dryver, the Owner, the Renter, and the Ryder) with respect to its subject matter and replaces and supersedes all prior or simultaneous agreements or undertakings regarding such subject matter.

 

  1. GOVERNING LAW AND DISPUTE RESOLUTION

 

These Terms and Supplemental Terms shall be exclusively governed and construed in accordance with the provisions of the laws of the Arab Republic of Egypt.  Any dispute, controversy or claim arising out of or relating thereto, the interpretation, existence, validity, the termination, rescindment or invalidity thereof, shall be settled by the competent Court in Egypt.

 

You hereby acknowledge and agree that you have read and understood these Terms and Supplemental Terms and accept them in full.
